The report consists of 7 parts which have been subdivided into appropriate topics. The First Chapter of the report is for introduction of the Chamber of commerce & Industry Rahim yar khan. This Part of the report explains the Introduction of Chamber of Commerce, Rahim Yar Khan. In this chapter this is explain that COCI solve those problems that are not solved by individual member. The second part of the report is about purpose, membership classes, services of chamber and proposed plan of activities (vision, mission, short term and long term activities) that are performed by Chamber of Commerce and Industry. This chapter also contains brief history of Chamber, how it originated. The third part constitutes the brief description of Organizational Structure. The departments that are running in Chamber of Commerce. There are 15 departments among them few departments are running in Rahim Yar Khan but 15 departments are running in regional chamber offices. In the fourth part, it consist of various function that chamber perform for its member, for government and for itself. Actually Chamber is the intermediary between government and business man, so in detail we discuss all the functions of Chamber. The fifth part constitutes the information of various bodies working in the chamber and for the chamber. Such as president, sectary general, trade rule, office bearers, director general etc. It also contain information regarding limit of members, classification of members, duration of membership, renewal of membership, eligibility, privileges of membership ad etc.

HISTORY After the achievement of independence in 1947, the Muslim Chamber of Commerce in Karachi was renamed as Pakistan Chamber of Commerce. In 1959-60 this organization and the three other Chambers, including Buyers and Shippers Chambers and Pakistan Merchants Association (former Indian Merchants Association) in Karachi merged into one unified body, namely Chamber of Commerce and Industry, Karachi. Similar reorganization of trade bodies took place in the other business centers of PakistanLahore, Multan, Dacca, Narayanganj, Peshawar and Chittagong. Some place which had hitherto no Chamber came to have one for the first time and that was on the new basis, e.g. Sylhet, Khulna, (now in Bangladesh) Hyderabad, Sukkur and some other places. The Chambers consisting of foreign investors were renamed as the Overseas Investors' Chamber of Commerce and Industry with head office in Karachi and the Argabad Chamber of Commerce & Industry with head in Chittagong in former East Pakistan (now Bangladesh). The "Associated Chambers of Commerce of Pakistan", which was the Federation of the bodies of overseas investors ceased to exists and these two Chambers also joined the Federation of Pakistan Chambers of Commerce & Industry. The Federation of Pakistan Chambers of Commerce & Industry was originally formed in 1949 by Mr. G. Allana with headquarters in Karachi but its membership then was confined to a limited number of bodies. With the reorganization of trade bodies in 1959-60 the Federation has been reorganized and broad-based by virtue of the resolutions at an All Pakistan Convention of Businessmen held in April, 1960 in Rawalpindi. The convention was presided over by Mr. M. A. Rangoonwala, the then President of the Federation.

Chamber of Commerce and Industry, Rahim Yar Khan Reorganization of trade bodies in 1959-60 is the most important landmark in the history of Commercial and Industrial Bodies in Pakistan. The main idea underlying reorganization was to eliminate the multiplicity of trade bodies - some cities had as many as five Chambers of Commerce each and certain commodities/trades or industries were represented each by more than one Association and to make them fully representative of trade and industry so that they carried more weight with the Government and international organizations. The government of Pakistan in the Ministry of Commerce launched the scheme for the reorganization of the trade and Industrial bodies in Pakistan, which was announced through a Government Resolution on 18th November, 1958.

Rahim Yar khan chamber of commerce is a non-trading concern organization main purpose of such organization is to gather businesses and people for the economic development of particular area. Chamber of commerce is place that help to solve those businesses and other business related problem that are very difficult to solve by an individual person or firm. Rahim Yar khan chamber of commerce and industry is established under trade ordinance of 2007, and this organization is running under these rules of ordinance 2007. Rahim Yar khan chamber of commerce and industry is not a department of any district, provisional or federal government and this is not the part of ant service or any other charitable advertisement or public relation organization.

PURPOSE OF RAHIM YAR KHAN CHAMBER OF COMMERCE AND INDUSTRY The basic purpose of Rahim Yar khan chamber of commerce and industry is free, independent organization and apart from any political influence. CORPORATE MEMBERSHIP CLASS o The member organization is if limited company or multination company which head office or branch office is located in Pakistan. o Any industrial production organization which is registered with sales tax department or which has turnover of 50 million or more.

ASSOCIATE MEMBERSHIP CLASS

Any organization which is not a limited or multinational company but is an industrial company and is not registered with sales tax department and it also has turnover of 50million or more.

However, there is provision for individual firms and companies to become Life Members and Patron Members without voting rights. The selection of Life and Patron Members is made by the Managing Committee. Also, the General Body of the Federation can elect "persons distinguished for social service and eminent in commerce and/or industry" as Honorary Members for one year "provided they are not otherwise eligible to present the Member Bodies on the Federation". Being Federal in its constitution the Federation takes up only such issues and matters as concern the country's trade and industry as a whole; in other words, the interests of all Chambers and Associations put together, e.g. economic planning, investment schedules, tax policy, money and credit transport and communication, export promotion, organization of general trade missions to foreign countries, receiving general trade missions form abroad etc. Matters concerning (i) specific trades and/or industries (e.g., cotton r steel) or (iii) individual firms and companies are left to Associations and local and regional Chambers. Indeed, it is laid down in the constitution of the Federation that it shall not duplicate its activities with those of its member bodies, who perform residuary functions.

FUNCTIONS AND ACTIVITIES Trade bodies in Pakistan have rapidly expanded their activities in various directions. IN pre-Independence conditions the main function of chambers and associations of commerce and industry was negative and oppositional in character. They were required to make representations to an alien government criticizing and opposing its policies and measures which did not suit domestic interests. The activities of chambers and associations of commerce and industry appeared to be an extension of the activities of political parties to the economic domain. After independence, particularly after their re-organization in 1959-60, there has been a significant shift in the functions and activities of our trade bodies towards positive work to help

The Government has given representation to the trade organizations on a large number of consultative and advisory councils and committees, and these bodies are, therefore, closely associated with the framing as well as implementation of the Government's policies on trade, commerce and industries. Trade bodies are no more a sort of semi-political "TRADE UNIONS" of businessmen and industrialists, but technical and professional organizations with positive tasks in their programmes. A lot of technical work has been undertaken during these years and completed with satisfactory results. FPCCI, in consultation with its member bodies has made extensive and intensive studies of economic planning, finance and credit, taxation, economic controls, foreign trade, industrial investment, transport and communication, laws affecting economy such as customs law, income tax law etc., and furnished comprehensive proposals and suggestions to the Government. It has held national exhibitions and single-commodity fairs, organized Pakistan's participation in international and foreign exhibitions, and organized and handled numerous trade delegations. FPCCI is affiliated to International Chamber of Commerce (ICC) through its Pakistan National Committee (PNS/ICC) and RCD Chamber of Commerce & Industry, Islamic Chamber and had been a member of the Afro-Asian Organization for Economic Cooperation (AFRASEC). It has effectively represented and projected the point of view of Pakistan in international moots and conferences. It has set up bilateral trade and industry committees with more than 52 countries. It has set up specialized standing bodies to study and advise on problems of shippers, tax-payers, importers, exporters, investors etc. It has conducted field investigations and enquiries on many references received from the Government. The national and international business conferences, seminars and conventions organized by FPCCI have proved of positive help in determining and highlighting the point of view of the private sector and the developing countries. FPCCI has been in the forefront in identifying such policies and practices of highly industrialized

Its resolutions and activities have truly reflected the struggle of Pakistan’s young private enterprise to end foreign exploitation and to serve the country's economy. LEGISLATION In Pakistan the relevant law is the "Trade Organization Ordinance, 1961 (XLV of 1961)" as amended by the Trade Organizations (Amendment) Ordinance, 1962 (XLII of 1962). It has been further amended in 1976. However, it is a small amendment only of form and not of substance. This piece of legislation covers all main aspects such as licensing and registration, cancellation of licenses and registration, classification and recognition of trade organizations, their membership, etc. The Federation of Pakistan Chambers of Commerce & Industry (FPCCI) is at the apex of al trade and industrial bodies in this country. It enfolds all Chambers and all country-wide Associations representing specific trades and/or industries. Indeed, it is compulsory for all Chambers and Associations of Commerce & Industry to become members of the Federation. Town Associations and Groups who have to become members of local Chambers of Commerce & Industry are not required to join the Federation as members.

THE WORLD BUSINESS ORGANIZATION'S HISTORICAL ROLE FOR REFORM IN PAKISTAN AND THE REGION

The international Chamber of Commerce Session of the Commission on Asia and Far Eastern Affairs (CAFEA) held at Karachi, Pakistan on December 5-9, 1960 was commemorated by the Pakistan Post Office. The Pakistan National Committee of the International Chamber of Commerce was founded in 1955 by the late M.A Rangoonwala who became ICC's President in 1981. FUNCTIONS, REGULATIONS & OBLIGATIONS

NAME The name of the Chamber shall be “RAHIM YAR KHAN CHAMBER OF COMMERCE & INDUSTRY”, Hereinafter called the Chamber.

REGISTERED OFFICE The registered Office of the Chamber will be situated in the District Rahim Yar Khan.

AIMS AND OBJECTIVES The aim of the Chamber, which is non-political, is to unite the members in their common approach and for this purpose the objects of the Chamber are: •

To encourage unity, mutual understanding and high ethical standards amongst its members.

To secure adequate representation of the Chamber on Government, public or statutory bodies and on trade and business / industrial delegations.

•

To accept any bequest, gift, donation or subscription towards or to accumulate and provide a Fund or Endowment or Waqf and to invest the same and apply the income arising there from or to resort to the capital thereof for any objects of the Chamber.

•

To resolve controversies and conciliate differences of opinion among members of the Chamber.

•

To promote education, awareness amongst the Members by holding Seminars and workshops, conducting educational causes, inviting experts to deliver lectures.

•

To seek affiliation with the Federation of Pakistan Chambers of Commerce and Industry.

•

To accept deposits of money or goods for any objects of the Chamber as

To subscribe to and become and continue to remain member of Federation of Pakistan Chambers of Commerce and Industry, and to procure from and communicate to any organization of Trade and Industry in Pakistan or abroad such information as may be conducive to the attainment of the objects of the Chamber.

•

To subscribe to any local or other charity and to grant any donations for any public purposes and to provide provident or superannuation fund or funds for the servants of the Chamber or otherwise to assist any such servants, their widows and children.

•

To communicate with Federal and Provincial Governments, Chambers of Commerce and Industry or other commercial and public bodies and to concert and promote measures for the protection of the aforesaid interests.

•

To file, prosecute, defend or contest, join or aid in filing, prosecuting and defending any such actions, suits, applications, appeals or other proceedings as the Chamber may think proper or which may be conducive to the attainment of the objects of the Chamber.

•

To pay all costs, charges and expenses, preliminary and incidental to the promotion, formation, establishment or registration of the Chamber and the conduct of the affairs thereof.

•

To collect, circulate and disseminate statistics and other information relating to Commerce, Industry, Trade or Services.

•

To enter into any arrangement with any Government Federal or Provincial or Authority, Municipal, local or otherwise that may seem conducive to

To sign, seal, execute and deliver all instruments, deeds, documents and writing whatsoever that may be found to be necessary or expedient in realization of the objects of the Chamber or conduct of its affairs.

•

To frame from time to time, such rules and laws as the Chamber may deem fit or proper for all or any of the objects, and to comply with all the requirements of the Trade Organization Ordinance 2007 (XXXI of 2007).

•

And generally to do all acts, deeds, and things which may be incidental or conducive to the attainment of all or any of the objects stated herein above.

•

To protect and promote the trade and to secure cooperation among Members in general and those dealing in these lines in particular.

•

To establish just and equitable principles in Industry and Services.

•

To form a code or codes or practices to simplify and facilitate transaction of business.

•

To undertake special inquiries and action for securing redressed of legitimate grievances of the members of the Chamber.

•

To establish and maintain Information Bureau, to print and publish journals, periodicals newspapers, books, pamphlets, leaflets, directories etc., and to establish and maintain library and reading rooms for the

To arrange and convene conferences, lectures, shows, meetings on the subject affecting the interest of the members of the Chamber.

To obtain any order; provisional or otherwise or any legislative enactment, for enabling the chamber to carry out any of the objects into effect, or for effecting any modification of the Chamber’s Constitution, or for any other purpose, which may seem expedient; and to oppose any proceedings or applications which may seem expedient; and to oppose any proceedings or application which may seem calculated directly or indirectly to prejudice the chamber’s objects.

•

To affiliate with any international organizations excluding foreign national body having objects altogether or in part similar to those of this Chamber for the purpose of securing the aims and objects of this Chamber.

•

To subscribe, to become member of, subsidies and cooperate with any other chamber or association, whether incorporated or not, whose objects are altogether or in part similar to those of this Chamber and to procure from and commu8nicate to any such chamber or association, such information as may be likely to promote the objects of the Chamber.

•

To amalgamate with, affiliate, join, take over any other chamber or association, whether incorporated or not, whose objects are altogether or in part similar to those of this chamber upon such terms and conditions, including those for any additional alteration or modification of the name of this chamber as may be mutually agreed.

•

To license brokers, mucaddams, weighmen and samplers upon such terms and conditions as to fees and other, as the Chamber may from time to time

Chamber of Commerce and Industry, Rahim Yar Khan prescribe; and to provide for sampling and weighing of commodities and for carrying on all or any of the functions usually associated with such weighing or sampling upon such terms and conditions as to fees payable by members or otherwise as may from time to time be determined by the Chamber. •

To carry out measurement and weighment of cargo, survey of merchandise and for that purpose or otherwise to issue certificates of quality, certificates or origin and such other certificates as may be requir3ed under the international rules and usages.

•

To aid in subscribing money to any charitable or benevolent purposes or for the promotion generally of any matters of charity or other useful objects with a view to establish harmony and business relationship amongst various mercantile communities in general and Pakistan community in particular.

•

To take such steps by personal or written appeals public meetings or otherwise as may from time to time be deemed expedient for the purpose of procuring contributions to the funds of the Chamber in the shape of donations, annual subscription or otherwise.

•

To provide for help and encourage study and training in technical and commercial matters by granting scholarships, awarding prize-stipends or giving other monetary aids to institutions through such other ways and means as may be determined from time to time.

•

To run sections or departments including those relating to exports, imports, statistics, publicity and publications as may be determined from time to time.

To arrange international Exhibitions in Pakistan or abroad and / or to participate in International Exhibitions or Forum in accordance with the aims and objectives of the Chamber.

•

To canvass publicizes, propagate and take all steps in the interest of the Chamber and for protection of the interests of the members and to consider,

recommend

and

support

all

actions directed

towards

improvement in the conditions of the trade. •

To enter into any arrangements with Government and public authorities– Municipal, Port, Railways, local or otherwise which may foster and consolidate the objectives of the Chamber or any of them whether individually or collectively for advancement of the interests of the trade.

•

To lend, advance or borrow or raise interest free monies or secure the payment of such monies in such manner as the Chamber may think fit and in particular manner by creation and issue of debenture or debenture stocks, perpetual or otherwise, charged upon all or any of the properties of the Chamber, present or future and to purchase redeem or pay such security or securities.

1. The income and property of the Chamber whence-so-ever derived, shall be applied solely towards the promotion of the objects of the Chamber as set forth in this Memorandum of Association.

No portion thereof shall be

paid or transferred, directly or indirectly by way of dividend or bonus or otherwise howsoever or by way of profit to the persons who at any time are or had been members of the Chamber or to any of them or to any persons claiming through them.

Provided that nothing herein contained

shall prevent the payment in good faith of remunerating to the officers member thereof or other person in return for any professional services actually rendered to the Chamber, or the payment of interest on money The Islamia University of Bahawalpur, Rahim Yar Khan Campus

•

The liability of the members is limited.

•

Every member undertakes to contribute to the assets of the Chamber in the event of the same being wound up during the time that he is a member or within one year afterwards for payment of the debts and liabilities of the Chamber contracted before the time at which he cease to be a member and of the costs, charges and expenses of winding up the same and for adjustment of the rights, of contributories amongst themselves such amount as may be required, but or employees of the Chamber or to any not exceeding the amount of annual membership fee.

•

If upon the winding up or dissolution of the Chamber there remains after satisfaction of all the debts and liabilities, any property whatsoever, the same shall not be paid to, or divided among the members of the Chamber but shall be given or transferred to some institution having objects similar to the objects of the Chamber and approved under the Income Tax Ordinance, 2001 to be determined by the Chamber at or before the time of the dissolution and in default thereof by such judge of the highest law court in Rahim yar Khan, as may have or acquired jurisdiction in the matter.

•

No addition, alteration and amendment shall be made in the Memorandum of Association or in the regulations contained in the Articles of Association for the time being in force unless the same shall have been previously submitted to and approved by the Government.

•

The territories to which the objects of the Chamber shall extend are the

ARTICLE OF ASSOCIATION REGULATIONS The Regulations contained in Table C of the First Schedule to the Companies Ordinance, 1984 (XLVII of 1984) shall not apply to the Chamber except as laid down herein. DEFINITIONS

(i)

In the Articles unless there is any thing repugnant in the subject or

context. (ii).

“Member” means a business concern whether Sole Proprietorship,

Partnership, Association of Persons, or a Company admitted as Associate or Corporate member of the Chamber. (iii).

“General Meeting” means a meeting of General Body whether ordinary,

special or extraordinary. (iv).

“The Article” means the Articles of Association.

(v).

“The President” means the President of the Chamber.

(vi).

“The Bye-laws” means the Bye-Laws of the Chamber for the time being

in force. (vii).

“The Committee” means the Executive Committee of the Chamber

Chamber of Commerce and Industry, Rahim Yar Khan elected under these Articles and include any Regional Committee or SubCommittee of the Chamber appointed by the Executive Committee. (viii). “Office Bearers” means the President and Vice President. (ix).

The “Secretary General” means the Secretary General of the Chamber.

(x).

“Trade Ordinance” means the Trade Organizations Ordinance, 2007 for

the time being in force. (xi).

“Trade Rules” means the Trade Organizations Rules, 2007 for the time

being in force. (xii).

“Director General” means Director General of Trade Organization

appointed under the Trade Ordinance. (xiii).

“Year” means a year reckoned from 1st October to 30th September.

(xiv). “The Ordinance” means the Companies Ordinance of 1984 or any other statutory enactment in place of said Ordinance for the time being in force. (xv).

“Register” means the Register of Members of Chamber kept in pursuance

of Section 147 of the Companies Ordinance, 1984. (xvi). “Resolution of Chamber” means any resolution passed at any meeting convened to take decision while adhering to the provisions of Section 157 to 173 of the Ordinance. (xvii). “Words indicating the singular number shall, include plural numbers and Vice Versa. Words signifying persons shall apply mutatis mutandis to firms, corporations or Joint Stock Companies.

(xviii). “Words indicating masculine gender shall include feminine gender. (a).

All other expression defined in the Ordinance shall have the

meaning assigned to them in the Ordinance. (b).

When any provision of the Ordinance is referred to, the references

shall be to such provision as modified by any statutory enactment for the time being in force.

LIMIT OF THE MEMBES For the purpose of registration, the Chamber hereby declares to consist of unlimited number of members.

PURPOSE The Chamber is established for the purposes expressed in the Memorandum of Association.

CLASSIFICATION OF MEMBERS The Membership of the Chamber shall comprise two categories of members, namely: (a).

Corporate Members” means a member of a trade organization which is either a body Corporate or a multinational corporation with its head office or branch office in Pakistan or a sales-tax registered manufacturing concern or a sales-tax-registered

Chamber of Commerce and Industry, Rahim Yar Khan business concern having annual turn-over of Rs. 50 million or above; (b).

Associate Members“ means a member of a trade organization which is not a body corporate or a multinational or a sales tax registered manufacturing concern or a sales- tax-registered business concern having annual turn-over of Rs. 50 million or above.

ELIGIBILITY FOR MEMBERSHIP A sole proprietorship firm or any other company or a business concern shall be eligible for membership of the Chamber, provided it fulfills the criteria as provided in Rule 11 (a to e) of Trade Rules (i).

Every application for the membership of the Chamber shall be made on a form prescribed by the Chamber and submitted by the Applicant to the Secretary General together with the first year’s Membership Fee subscription and the admission fee.

(ii).

Every individual business concern firm or joint stock company desirous of becoming a member of the Chamber shall “submit to the Secretary General, membership application form. The application so received shall be placed before the next meeting of or circulated amongst the Executive Committee which may accept or reject the same for the reasons specified in the rejection order.

(iii).

in case of rejection, no further application shall be entertained for a period of one year reckoned from the date of such rejection and the fees paid by the Applicant shall be refunded. The applicant shall, however, have the right to approach the Director General, whose decision in this regard shall be final and binding.

The Membership of the Chamber shall be for a period of one year and shall expire on the 31st day of March every year, irrespective of the date of grant of Membership.

RENEWAL OF MEMBERSHIP The Membership shall be renewable on annual basis subject to fulfillment of the following conditions: (a).

Payment of prescribed fee within the time stipulated for the

purpose but not later than 31stof March; and (b).

Proof of filing returns of Income Tax and Sales Tax if applicable,

for the preceding year.

ADMISSION FEE Every member will be required to pay admission fee at the rate determined by the Executive Committee from time to time. Any firm being a member of the Chamber shall have, on changing the Firm’s name or on change of constitution of the firm, to put in a fresh application for membership. However, no admission fee shall be charged, provided the Applicant has taken over the assets and accepted the liabilities of the original firm. In any case the Executive Committee shall be competent to decide such cases on merit.

MEMBERSHIP FEE In addition to the Admission Fee payable as provided Article-11, every member shall annually pay Membership Fee by 31stMarch each year, for the year. The Membership fee may be varied from time to time by the Executive Committee.

PRIVILIGES OF MEMBERSHIP Every member of the Chamber shall be entitled: •

To take part in the elections and cast vote to elect office bearers of the Chamber as per rules and regulations in force.

•

To take advantage of the information and record available with the Chamber under such limitation as the Executive Committee may prescribe.

•

To obtain a copy of the annual report and statement of accounts of the Chamber.

•

To obtain a copy of all publications of the Chamber either free of cost or at such prices as may be fixed by the Executive committee from time to time.

•

To cause an ordinary or extraordinary General Meeting of the Chamber to be convened in conjunction with other members of the Chamber in accordance with these articles.

•

To participate in the General Meetings of the Chamber.

•

To stand or propose or second members for election to the Executive Committee of the Chamber.

•

To stand for election as a representative of the Chamber on any non political public or private body.

•

To seek assistance of the Chamber for securing all reasonable facilities for the development of his trade / industry.

DUTIES AND OBLIGATIONS OF MEMBERS Every member shall have the following duties and obligations: (a).

To make every effort to carry out the aims and objectives of the

Chamber as set forth in the Memorandum of Association. (b).

To carry out and abide by the rules and regulations of the Chamber

as laid down in these Articles or in the bye-laws framed there-under from time to time. (c).

Submit as far as possible all complaints, appeals, etc. in writing to

the Secretary General. (d).

To bring to the notice of the Executive Committee any matter

likely to cause any loss or harm to the interest of the Chamber or its Members in whatever manner. (e).

To pay the Membership fee of the Chamber regularly.

(f).

To convey to the Executive Committee all information that may be

considered necessary for promoting the aims and objects of the Chamber. (g).

To take part in the deliberations of the meetings of the Chamber

which he is entitled to attend and to abide by the rules framed for the conduct of the business of the meetings from time to time.

ELECTION The election of the Members of the Executive Committee excluding President, Vice President shall be held by secret ballot. The members of

Chamber of Commerce and Industry, Rahim Yar Khan Executive Committee so elected shall proceed to elect from themselves President and Vice-President and their final result shall be officially announced at the General Meeting of the Chamber called for this purpose within fifteen days of the date of polling but before or on 30th September. (b).

On completion of their term the retiring members of the Executive

Committee shall not be eligible to stand for election or co-option for the Executive Committee in any

representative capacity for the next one

year. (c).

No voting by proxy or postal ballot shall be allowed.

(d).

No member shall be entitled to vote at any meeting of Chamber

unless all moneys due on account of Membership fee or otherwise have been paid to the Chamber by the due date. (e).

Voting rights shall accrue only after two year’

standing as

member, except, for the first elections after the incorporation.

ELIGIBILITY TO VOTE



A member shall be eligible to vote in election of the Chamber after completion of two year of membership in the Chamber provided such a member fulfills the conditions stipulated for the renewal of membership and the change of class of membership, if any, has been notified by the Secretary General with the approval of Executive Committee of the Chamber as the case may be, at least three months prior to announcement of election schedule.



The right to vote shall be allowed only to the proprietor, partner or the director of the member firm or company, or a person not below the rank of General Manager authorized by the Board of Directors of a public limited company or a Multi-National company, as the case may be.



The Proprietor, partner or director of the member firm or company concerned or a person not below the rank of General Manager authorized by the Board Directors of public limited company or a multinational company shall be entitled to cast his / her vote at the time of election only if his or her name has already been registered with the Secretary General of the Chamber and his name appears on the list of voters. However, in the case of Associated Bodies, Chambers or persons a society or a trust etc., the member may be represented by an authorized person who is member of its Governing Body.

LISIT OF VOTERS The Secretary General of the Chamber shall within seven days of the issuance of the election schedule display a list of all members eligible to vote along with their National Tax Number, Sales Tax Registration Number, if applicable and the name and National Identity Card Number of their representative.

Provided that every member of the

Chamber will be entitled to obtain a copy of such list upon payment of the prescribed fee. The voters list shall be displayed at: (a).

The change, if any, regarding name of representative appearing in the list of voters shall be sent to the Secretary General of the Chamber along with necessary proof of eligibility within seven days of the announcement of election schedule. o The members who have any objection to the entries changes in the list of voters shall send their objections in writing to the Secretary General within seven days of the issuance of the said list. o The Secretary General will intimate action on the objections or changes sent by members within seven days from the last day under preceding clause. o In case of any dispute pertaining to the eligibility of a member, the matter may be referred to the Election Commission of the Chamber by any person aggrieved by the decision of the Secretary General of the Chamber within three days which will decide that case within three days. o Within three days of the decision by the Election Commissioner, any o person aggrieved by the decision of the Election Commission may appeal to the Director General whose decision in this regard shall be final. o Within three days of the decision of the Election Commission or the Director General as the case may be on such reference and changes, if any otherwise allowed by the Secretary General, a copy of final list of voters shall be provided to the candidates contesting the election and a copy of such list shall also be submitted to the Director General, forthwith. NOMINATION PAPERS Within four days of the issuance of the final list of voters, any person who is eligible to contest the election for the vacant post, shall send his nomination duly proposed, seconded, and signed by the candidate to the Secretary General on the prescribed from in accordance with the Articles of Association or rules of the Chamber.

APPOINTMENT OF ELECTION COMMISSION (a).

The Commission may comprise of three members;

(b).

The members so appointed have submitted their consent in writing

to their appointment as such; (c).

The members of the Commission, so appointed have not held any

office of the Chamber for the preceding two years. (d).

The members of the Commission shall not become a candidate in

the election they are conducting (e). The members of Commission shall act independently and impartially.

BALLOT PAPER •

The ballot papers shall have duly numbered counterfoils and the

Chamber of Commerce and Industry, Rahim Yar Khan voters shall sign or affix thumb impression thereon in the presence of the polling agents of the candidates and the returning officer before the issuance of ballot papers to him / her.



It shall be the duty of the polling officer to see the original identity card issued by the Chamber or national identity card or passport and or the driving license or any other acceptable mode of identification of the voter and write the number thereof on the counterfoil.



After comparing the signatures and photographs with the specimen signatures cards the polling officer shall handover the ballot paper to the voter.



The ballot paper shall be signed by the Secretary General or an officer of the Chamber duly authorized by the Commission in this behalf and shall also be signed by the polling officer at the time when it is issued.



The voter shall not be allowed to leave the booth after the ballot paper has been handed over to him until and unless he or she has inserted his / her ballot paper in the box placed before the presiding officer / polling officer and polling agents of the candidates.



Adequate arrangements shall be made to maintain the secrecy of the polls.



Proper account shall be maintained by a designated officer in respect of ballot papers including used, unused, tendered, challenged or stray ballot papers.

The challenged votes shall be kept in a separate sealed envelope duly signed and sealed by the polling officer.



The Commission or an officer designated by the Commission shall decide about the challenged votes after verification of necessary information from the member firm, company or concern before the official announcement of the results.

CONDUCT OF POLLING The returning officer as appointed shall be in charge of all

arrangements

connected with such elections, including counting of votes and announcement of results.

COUNTING OF VOTES Counting of votes shall take place immediately after the polling hours under the supervision of Returning officer in the presence of polling agents of the candidates, if any, at the designated sites.

PROVISIONAL RESULTS Provisional results may be declared by the returning officer immediately after the counting votes is completed.

INSPECTION OF RECORD OF ELECTIONS

Chamber of Commerce and Industry, Rahim Yar Khan The record of elections shall be open to inspection by the Members upon an application made to the Returning Officer or his nominee in this behalf within seven days of the date of polling.

EQUALITY OF VOTES In the event of Equality of votes between two or more candidates a lot shall be drawn by the returning officer in the presence of candidates or their authorized representatives / polling agents of such candidates and a record of the result thereof shall be made.

ANNOUNCEMENT OF RESULTS The final result of elections shall be announced at the Annual General Meeting of the Chamber. Called for this purpose within fifteen days of the date of polling, but not later then 30thof September of the year, which shall be the material date for the purposes of paragraph (iii) of clause (f) of sub-Section (2) of Section 14 of the Trade Ordinance. The final election result announced at the General Meeting shall be displayed at:

TRADE ORGANIZATION ORDINIANCE MEMBERSHIP OF TRADE ORGANIZATIONS

(1) Chambers and sector-specific associations on all-Pakistan basis, granted license under this Ordinance shall apply for membership of the Federation of Pakistan Chambers of Commerce and Industry within thirty days of grant of license under this Ordinance. (2) Upon an application by a trade organization under sub-section (1), the Federation of Pakistan Chambers of Commerce and Industry shall enroll such trade organization as its member within thirty days and where such an enrolment is not decided within thirty days, the matter shall be referred to the Director-General along with the reasons for not allowing enrolment and the Director-General shall decide the matter within thirty days.

(3) A chamber or an association which is a member of the Federation of Chambers of Commerce and Industry shall be eligible to vote in the election of office-bearers and committees of the Federation of completion of two years of grant of license: Provided that the existing trade organizations, on grant of license under this Ordinance, shall be deemed to be members of the Federation and shall be entitled to vote. (4) Proprietorships, associations of persons, partnerships, companies or multinational corporations engaged in trade, industry or services shall be entitled to enrolment as members of chambers and associations on fulfillment of the prescribed conditions. (5) Notwithstanding anything contained in any other law for the time being in force any person engaged in trade, industry or service, or any combination thereof, shall be entitled to be enrolled as a member of a registered trade organization except where such person is otherwise disqualified for any of the reasons as may be prescribed.

Chamber of Commerce and Industry, Rahim Yar Khan (6) Where a person, qualified to be enrolled as a member of a trade organization, is refused enrolment or the enrolment is unduly delayed, on a complaint by the aggrieved person, the DirectorGeneral may direct the trade organization concerned to enroll such person as a member on fulfillment of the prescribed requirements. (7) Members of the Chambers and Associations shall be eligible to vote on completion of two years of their enrolment and payment of all dues. (8)

Except for the membership and office-bearers provided under

this Ordinance or prescribed rules, there shall not be any other position by any nomenclature in a trade organization.

THE DIRECTOR-GENERAL (1) The Federal Government may, by notification in the official gazette, appoint or empower an officer to perform the functions of Director-General of trade organizations under this Ordinance. (2)

The Federal Government may appoint or empower such other

officers with Designations as it deems fit for performing under the superintendence and direction of the Director-General, such functions of the Director-General, under this Ordinance as he may, from time to time, authorize them to discharge. (3)

The Director-General may, by order in writing, (a) Review any function, matter, case or decision of any officer; or (b) Withdraw any function, matter or case from any officer or staff, and deal with such function, matter or case him either de novo or from the stage it was so withdrawn, or transfer the same to another officer or staff at any stage.

POWERS AND FUNCTIONS OF THE DIRECTOR-GENERAL (1) All acts and proceedings of registered trade organization shall be subject to the control of the Federal Government and, subject to such control the affairs of such trade organization shall be managed and conducted in such manner as the Director-General may, from time to time, direct. (2) The Director-General shall, for the purpose of this Ordinance, have the same powers as are vested in a Civil Court under the Code of Civil Procedures 1908 (Act V of 1908) in respect of the following matters, namely :(a) Summoning and enforcing the attendance of any person and examining him on oath; (b) Compelling the production of documents; (c) Receiving evidence on affidavit; and (d) Issuing commission for the examination of witnesses. (3) Notwithstanding anything contained in any law for the time being in force or in the articles or memorandum of a registered trade organization and without prejudice to the generality of the foregoing provisions, the Director-General shall exercise the Powers to (a) Conduct enquiries into the affairs of a trade organization as may be Necessary for the purposes of this Ordinance; (b) Inspect, with or without prior notice, any office of such trade organization including any of its branch or regional, circle, zonal or liaison office, or any record or document found therein; (c) attend any meeting of the general body or the Executive Committee of such trade organization or of any committee or other body set up or appointed to transact any business, or to conduct any affair, of such trade organization; (d) Watch and supervise, or cause to be watched and supervised, The Islamia University of Bahawalpur, Rahim Yar Khan Campus

Chamber of Commerce and Industry, Rahim Yar Khan any election held by, or for the purpose of electing persons to the Executive Committee or other body including a region, circle or zone of any such trade organization; (e) Act as a final forum of appeals against the decisions of any person, committee or office-bearers of a trade organization in matters relating to electoral process before the conduct of election; (f) Annul the results of any election held by any trade organization if he is satisfied. (i)

Upon his own knowledge and after such investigation

he may think fit to make; or (ii) Upon a report made by a person authorized by him to make investigation for the purpose; or (iii) upon a complaint filed by an aggrieved person in this behalf within thirty days of the announcement of the results of such election, that the irregularities in the conduct of such election justify such annulment and, by order in writing, direct fresh election to be held within such period as may be specified in the order; (g) cancel, suspend or modify any resolution adopted or any decision taken, by the general body or the Executive Committee of such trade organization if he is satisfied that such resolution or decision is not in conformity with the provisions of the articles or memorandum or any rules or regulations made there under, or that the requirements of the provisions of articles or memorandum or any rules or regulations made there under have not been complied with while adopting such resolution or taking such decision, or that such resolution or decision is contrary to any rules, regulations, directions or instructions issued by the Director-General or by the Federal Government to such trade organization;

remove or cause to be removed any number of

members of the Executive Committee of such trade organization and fill up, or cause to be

filled up, the

resultant vacancies; (ii) Suspend, or cause to be suspended, for a specified period, any

organization and cancel, or cause to be cancelled, any such suspension or the suspension of any member otherwise than by or at the instance of the Director-General; (iii) Remove, or cause to be removed, from the membership register, the name of any number of members, and reinstate, or cause to be reinstated, in the membership register, any member so removed or removed otherwise than by or at the instance of the Director-General; (i) Give directions to persons or trade organizations in matters concerning this Ordinance, or any rules or directive made there under; (j) Impose and collect penalties and fines under section 25; (k) Such other powers as are provided by this Ordinance.

RESTRICTION ON SUITS AGAINST TRADE ORGANIZATIONS Notwithstanding anything contained in any law for the time being in force or in the articles or memorandum of a registered trade organization, no suit or other legal proceedings relating to affairs of a trade organization shall be instituted or commenced in any court except high court.

(1) Notwithstanding anything contained in any other law for the time being in force or in the articles or memorandum of association of any trade organization or other company or in any agreement or other instrument, the Federal Government may, (a) subject to any rules made in this behalf, by order in writing, direct any firm, company or other concern engaged in any trade, commerce, industry or service to be a member of registered trade organization specified in the order; or (b) if it considers expedient in the interest of trade, commerce, industry, or service, by notification in the official gazette, direct all such firms, companies or concerns or any class thereof engaged in trade, commerce, industry or service, as may be specified in the notification subject to exception if any, to be members of the registered trade organization or organizations specified in this behalf in such notification. (2) Upon the issue of an order or notification under sub-section (1) the registered trade organization concerned shall admit as its member any firm, company or concern directed to be its member by such order or notification.

DELEGATION OF POWERS (1) The Federal Government may, by notification in the official gazette, direct that all or any of its powers under this Ordinance shall, in relation to such matters or subject to such conditions as may be specified therein, also be exercisable by the Director-General. (2) The Director-General may, by order in writing, authorize the Administrator or any other officer to exercise and perform any of his powers and functions under this Ordinance.

FEDERAL GOVERNMENT MAY CARRY OUT THE FUNCTIONS OF THE DIRECTOR-GENERAL Notwithstanding anything contained in any other provision of this Ordinance, the Federal Government may, by notification in the official gazette, direct that the powers and functions of the DirectorGeneral shall, under such circumstances, or in such cases, as may be specified in the notification, be exercised and performed by the Federal Government and upon such notification reference to the Director- General in the relevant provisions of this Ordinance shall be construed as reference to the Federal Government and such provisions shall have effect accordingly.

TRADE ORGANIZATIONS FUND (1) There shall be established a fund to be known as the Trade Organizations Fund which shall consist of, grants made by the Federal Government and the Provincial Governments; (a) Fees and penalties collected by the Director-General; and (b) Contributions from local and foreign donors or agencies. (2) The Federal Government shall make rules and

regulations

for utilizing and incurring expenditures from the Fund. (3) For the purpose of maintaining the Fund the Federal Government may open and maintain accounts at such scheduled banks as it may from time to time determine.

MERGERS OF TRADE ORGANIZATIONS Notwithstanding anything contained in another law for the time being in force or provisions contained in Memorandum and Articles of Association of any trade organization, the Federal Government may, by notification in official gazette, direct any number of trade organizations to merge if each of them is involved in the same or significantly similar trade, industry or services or any combination thereof: Provided that if two or more trade organizations are involved in the same or Significantly similar trade, industry or services or any combination thereof shall be determined by the Federal Government whose decision is this regard shall be final.

TRANSITIONAL PROVISION (1) All existing trade organizations, before submitting application for grant of license under this Ordinance, shall alter their memorandum and articles of association or any existing arrangement, and shall take such other actions as are necessary to bring the constitution, working and procedures of the existing trade organizations in conformity with the provisions of this Ordinance. (2) Notwithstanding anything contained in this Ordinance, or

any other

law for the time being in force, or provisions contained in the memorandum and articles of

association of any trade organization, in

order to bring the composition of the Federation of Pakistan Chambers of Commerce and Industry, chambers and associations in conformity with the provisions of this Ordinance, the Federal Government may, within six The Islamia University of Bahawalpur, Rahim Yar Khan Campus

Such orders may include, but not limited to, extension of the tenure of the office bearers and committees, or super session of Executive Committee, or appointment of administrator, or annulment of the elections of any trade organization including the Federation of Pakistan Chambers of Commerce and Industry, held under the repealed ordinance or the order of the court. Simultaneously, with the passing of such order, the Federal Government shall issue schedule of election for the respective trade organization.

ADMINISTRTOR ACT UNDER DIRECTOR GENERAL (1) The Administrator shall manage and conduct the affairs of the trade organization under the supervision and control of the DirectorGeneral and in accordance with the rules, if any, made in this behalf by the Federal Government and, until such rules are made, in accordance with such directions as the Director-General may, from time to time, give. (2) The rules and directions referred to in sub-section (1) may provide for (a) The appointment of an Advisory Committee consisting of persons selected from the members of the trade organization to assist the Administrator in the discharge of his functions; (b) Holding of elections for the purpose of reconstitution of the Executive Committee at any time considered appropriate before the expiry of the term of appointment of the Administrator; (c) Compliance with the provisions of the Ordinance to the extent applicable to the trade organization except those relating to the laying of the income and expenditure account and reading of the auditor’s report in general meeting (d) Withholding, during the period of super session of the

Chamber of Commerce and Industry, Rahim Yar Khan Executive Committee, of the general meeting of the trade organization other than the meeting to hold elections for reconstituting the Executive Committee; (e) Conduct of any business, during the period the general meeting remains withheld, which requires the approval or assent of the members at a general meeting; (f) The pay, allowances, remuneration and other privileges, of the Administrator and the members of the advisory committee; and (g) Such other matters as are necessary for efficient management of the affairs of the trade organization. (3) Any expenditure incurred in connection with the management of a trade organization by the Administrator including pay, allowances and remuneration of the Administrator and the members of the Advisory Committee shall be met as expenses, and be a charge on the income, of the trade organization: Provided that the Federal Government may allow remuneration, honorarium to and re-imbursement of actual expenses incurred by the Administrator in connection with performance of his functions to be met from the Trade Organizations fund.

(2) Upon the issue of an order or notification under sub-section (1) the registered trade organization concerned shall admit as its member any firm, company or concern directed to be its member by such order or notification.

(2) A person convicted for any offence under this Ordinance shall not hold, or be eligible for holding, any office in a registered trade organization unless a period of five years has elapsed. (1) No person shall be a member of more than such number of trade organizations as the Federal Government may, by notification in the official gazette, specify in this behalf. APPEAL (1) Any person or trade organization aggrieved by any decision or order

of

the

administrator

may,

within

fourteen

days

of

communication of such decision or order, prefer appeal to the Director-General. (2) Any person or trade organization aggrieved by any decision or order of the Director-General may, within fourteen days of communication of such decision or order, prefer appeal to the Federal Government whose decision, subject to sub-section (4), and shall be final. (3) On appeal under sub-section (1) the Director-General or, as the case may be, the Federal Government may suspend the operation or execution of the decision or order appealed against until the disposal of such appeal. (4) Any person aggrieved by the final order or decision of the Federal Government involving a question of law may, within thirty days of such order or decision, prefer appeal to the High Court.

Chamber of Commerce and Industry, Rahim Yar Khan The Federal Government may levy and charge prescribed processing fee for grant of license or renewal of license to a trade organization, and for examining the performance reports, audited accounts, and other documents submitted to the Federal Government or the Director-General.

PENALTY Where a person contravenes any provision of this Ordinance or any rule or order made, or any direction or instruction given there under, or obstructs any officer or person acting under or in pursuance of any such provision, rule, order, direction, or instruction, shall be liable to penalty which may extend to one hundred thousand rupees.

CONTRAVENTION BY COMPANIES Where a person contravening or failing to comply with, any provision of this ordinance or any rule, order or direction made or issued there under is a company or other body corporate, every managing director, director, manager, secretary or other officer or agent thereof shall, unless he proves that the offence was committed without his knowledge or that he exercised due diligence to prevent its commission, shall be liable to the penalty as provided for such contravention or failure.

PRESUMPTION AS TO ORDERS Where an order purports to have been made or signed by an authority or person in exercise of any power conferred by or under this Ordinance, a Court shall presume that such order was so made by that authority or person.

Chamber of Commerce and Industry, Rahim Yar Khan Any sum imposed as penalty under this Ordinance shall be recoverable as an arrear of land revenue.

INDEMNITY No suit, prosecution or other legal proceedings shall lie against any person for anything which is, in good faith, done or intended to be done in pursuance of this Ordinance or any rule or order made or any direction given there under.

POWER TO MAKE RULES The Federal Government may, by notification in the official Gazette, make rules for carrying out the purposes of this Ordinance.

ORDINANCE TO OVERRIDE OTHER LAWS The provisions of this Ordinance shall have effect notwithstanding anything to the contrary contained in any other law, for the time being in force.

VALIDATION OF ACTIONS Anything done, actions taken, orders passed, instruments made, proceedings initiated, processes or communications issued, powers conferred, assumed, exercised by the Federal Government or Director-General on and after the 4th October, 2007 and before the commencement of this Ordinance shall be deemed to have been validly done, made, issued, taken, initiated, conferred, assumed and exercised and the provisions of this Ordinance shall have, and shall be deemed always to have had effect accordingly.
