MEMORANDUM OF UNDERSTANDING This memorandum of understanding made this day 7th Dec 2009 by agreeing upon with the following between BCS tech India Bangalore Where in called as (Client). And Spectrum Overseas Educational Group consulting from Dehradun Wherein called as (Vendor) to agreed on mutually in sourcing and hiring of fresher for our project BCS tech India Whereas client and vendor have agreed to enter into an agreement which client and vendor will work collateral to source fresher for our BCS tech India. And whereas client and vendor are desirous to enter MOU between them setting out the terms, conditions and services to be provided by such agreement. PURPOSE The purpose of this memorandum is to provide for the framework in sourcing the fresher for BCS tech India, between client and vendor. AREAS OF COOPERATION The activities and services for the project shall include, but not limited to set terms by either party in his role of activities and /or services to be performed by each of client and vendor RESOURCES Client hereby agrees to provide the following clauses in respect of the project

security deposit. The money paid to BCS tech will not be refunded under any circumstances. BCS tech India will place these candidates either within their own verticals or with their clients in BCS payroll the joining date will be mentioned in the offer letter given to students after the selection process. The offer letter would be valid only after receiving full payments as per agreement. In case BCS is not received the payment within 5 days prior to completing the joining formalities the offer rolled will be cancelled automatically through this agreement. In case the consultant adheres to any means without informing BCS tech, BCS will not be responsible for the same. For every candidate offered job and against whom full payment is received, BCS shall pay 10% of the deposit amount to the consultant. Offer letters or receipts produced to BCS by candidate or by consultant would be valid only with authorized signature of BCS.

8. After successful completion of 18 months with BCS tech, BCS can refund Rs: 10000 out of the money collected for the payments made directly by students. 9. In case the employee leaves or is asked to leave within this 18 months period due to non performance or unethical behavior towards his responsibilities than no refund shall be made.

Vendor hereby agrees to provide the following resources in respect of this project

SOEG consultant will source candidates as per the guidelines set by BCS tech management.

The offer letter issued by BCS tech stands valid only if the letter is on BCS tech letter head duly signed by a BCS Tech authorized official.

SOEG will be conducting interviews as per our requirement and guidelines set by BCS tech.

SOEG will collect security deposit money in full from the candidates and the same has to be paid to BCS tech payment has to be collected in the form DD or cash and official receipt will be provided by BCS tech only to SOEG on receipt of full amount.
