LENS ON TALENT: Johnson & Johnson Presents A Filmmakers Challenge Official Contest Rules Please read these official rules ("Official Rules") before entering the contest

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. You are not required or encouraged to purchase any product or service in order to enter this Contest. Eligibility. Only legal residents of the fifty (50) United States and District of Columbia, who are 18 years of age or older at the time of entry, may participate in the Lens on Talent: Johnson & Johnson Presents A Filmmakers Challenge (this "Contest"). This Contest is not open to employees or directors of BET J, a division of Black Entertainment Television LLC (collectively, “BET”), Johnson & Johnson (collectively with BET, “Sponsors”), or any of their respective parent companies, affiliates, subsidiaries or advertising and promotion agencies, or members of their immediate families (spouse or parent, child or sibling pr their respective spouses, regardless of where they reside) or households, whether or not related. You may submit more than one (1) short film. If you submit more than one film, each entry must be accompanied by its own Entry Materials (as defined below). Each film you submit must be substantially different from any other film submitted by you.

To Enter: (1) Read these Official Rules - Submission of an entry for this Contest confirms your agreement with these Official Rules; (2) Complete the Lens on Talent: Johnson & Johnson Presents A Filmmakers Challenge Short Film Competition Entry Form (“Entry Form”) in its entirety, including your current address, telephone number and e-mail address. Print and sign two (2) copies of the completed Entry Form and include it with your short film and two (2) copies of each of the following documents (collectively, with the Entry Form and short film, “Entry Materials”): • executed Sort Film License Agreement (“License Agreement”); • completed music cue sheets; • DVD screeners of film (Note: DVDs will not be returned); • filmmaker bio and photo (have electronic version available to email); • film synopsis (max. 1 page) (have electronic version available to email); and • one (1) photo still from film (have electronic version available to email). And one (1) copy of the following: • Clearance and Release documents for all third party appearances and content included in the film All short film entries must be on DVD-R (AVI or Quicktime), or VHS format. Please send a copy, NOT your Master; (3) Send your Entry Materials in an envelope with proper postage affixed to: Lens on Talent: Johnson & Johnson Presents A Filmmakers Challenge, Attention: Ralph Scott, 1540 Broadway, 27th Floor, New York, NY 10036. All Entry Materials will become the physical property of BET and will not be acknowledged or returned. Do not send the Master copy of your short film. Short films submitted by any other method other than as set forth herein will be not be considered. Please note that by entering this Contest, you represent and warrant that you are the sole creator of the short film submitted and that you own all right, title and interest in and to the film footage contained in your short film. Further, you hereby consent to being contacted by Sponsors via email regarding this Contest and other related topics and to Sponsors’ use of the information contained in your Entry Materials in accordance with each of Sponsors’ Privacy Policy.

Short Film Submission Requirements. Any short film that is 20 minutes in length or less is eligible 1

for this Contest. You may use any visual format, including without limitation film, animation and digital photography, to create the short film submitted for this Contest. A short film will be ineligible for this Contest if it contains any: (i) stock/file film or photo footage or any footage that is not originally created material; (ii) patent, trademark, trade secret, copyright or other proprietary rights without the necessary licenses, rights, consents, and written permissions, (iii) copyrighted or third party works (audio and visual) without authorization of the third party/copyright owner; (iii) images of any person, locations or property without owner’s explicit consent, or (iv) commercial endorsements, advertisements or solicitations. Short film cannot have been undertaken on behalf of any political candidate or party. Short films should be in keeping with Sponsors’ image and may not contain material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; obscene or inappropriate, as determined by Sponsors in their sole opinion. Sponsors reserve the right to disqualify any short film for any reason, in their sole and absolute discretion. You should be able to provide all necessary third party authorizations, consents or permissions to submit film and grant the rights set forth herein in a form acceptable to Sponsors if requested by Sponsors to do so. If any minor appears in your film, you must have his/her parent’s or legal guardian’s permission to submit the short film and to grant the rights set forth herein and be able to provide such permission in a form acceptable to Sponsors if requested by Sponsors to do so. Any short film that does not comply with the requirements set forth in these Official Rules will be deemed disqualified.

Right to Display Short Film Entries Submitted short films may be broadcast on the BET networks in connection with the Lens on Talent: A Johnson & Johnson Filmmakers Challenge program. By entering this Contest, you hereby grant to Sponsors (and their respective agents, licensees, parent companies, subsidiaries, successors and assigns) (i) the worldwide, perpetual, non-exclusive right to print, publish, broadcast, use, make available, post, stream, edit, modify, cut, publicly display, publicly perform and otherwise distribute your short film, in whole or in part, in any medium whatsoever, now known or hereafter devised, in accordance with the Lens On Talent: Johnson & Johnson Filmmakers Challenge License Agreement (“License Agreement”), attached hereto and made a part hereof by reference; (ii) the right to submit your short film for consideration for national broadcast syndication; and (iii) except where legally prohibited, the right to use and publish your name, photograph, likeness, voice, address (city and state), biographical information and testimonials, in any medium whatsoever, now known or hereafter devised, in perpetuity, in connection with the promotion of your short film, this Contest and Sponsors and their products and services. BET is under no obligation to broadcast or otherwise distribute any film entries. If a submitted film is broadcast by BET in connection with this Contest, the filmmaker shall receive $500 (awarded as a check). In the event of any conflict between this section and the License Agreement, the License Agreement shall govern.

Contest Entry Period Entries must be submitted by mail, must be postmarked on or before November 30, 2009 and must be received by BET by December 7, 2009 (the "Entry Deadline”). Released Parties (as defined below) are not responsible for any lost, stolen, illegible, damaged, delayed, misdirected, postage-due or undelivered entries or mail, or any entries or mail that are not received by the Entry Deadline, for whatever reason. BET reserves the right to (i) suspend, modify or cancel this Contest, or any contestant's participation in this Contest, at any time in its sole discretion if a computer virus, bug or other technical problem corrupts the administration or security of this Contest, or for any other reason and, if this Contest is cancelled, to select a winner from among the non-suspect, eligible entries received prior to the cancellation date using the selection procedure set forth herein; (ii) modify these Official Rules in any way, at any time, by providing notice of such modification on the Lens on Talent:: Johnson & Johnson Presents A Filmmakers Challenge contest page located at www.bet.com;

Winner Selection THIS IS A CONTEST OF SKILL. The reviewing committee will watch all eligible short films timely received and will judge them on the basis of creativity, technical merit, storytelling ability and innovation. The judging committee will select one (1) grand prize winner on or before January 10, 2010. In the event of a tie, an additional tie-breaking judge will determine the grand prize winner from among such tied films using the judging criteria set forth herein. Sponsors reserve the right not to award the prize if, in their sole discretion, they do not receive a sufficient number of eligible and qualified short films. Sponsors reserve the right, in their sole discretion, to disqualify any contestant that they find has tampered with, or has attempted to tamper with, the entry process or the operation of the Contest, or to be in violation of these Official Rules or who has acted in a disruptive or unsportsmanlike manner and void all associated short films. ALL DECISIONS OF SPONSORS AND THE REVIEWING COMMITTEE ARE FINAL AND BINDING.

Winner Notification BET will notify the potential grand prize winner by e-mail, phone or first-class mail within five (5) business days after his/her selection. If the potential grand prize winner cannot be contacted within a reasonable time period and does not respond to such notification within five (5) business days, an alternate potential grand prize winner may be selected, at BET’s discretion. Released Parties shall not be liable for (i) failed, returned or misdirected notifications due to

inaccurate information provided by a contestant, or (ii) responses to winner notifications which are lost, late, incomplete, illegible, unintelligible, misdirected, damaged or otherwise not received, in whole or in part, by BET. To be entitled to receive the grand prize, the potential winner must execute (a) an Affidavit of Eligibility and Liability and Publicity Release (except where prohibited) and Production Agreement and (b) all income tax documentation provided by BET. Failure to return these documents fully-executed to BET within ten (10) business days after receipt or noncompliance with these Official Rules may result in disqualification and, at BET’s discretion, an alternate grand prize winner may be selected. If the winner is at least 18 but still considered a minor in his/her state of residence, BET may, at its discretion, require his/her parent or legal guardian execute all required documents on behalf of winner.

Prize The grand prize winner will receive up to One Hundred Thousand Dollars ($100,000.00) to produce a short film for BET which will be broadcast on the BET networks and program services (“Prize Film”). The grand prize winner will receive appropriate credit for creation and production of the produced film, which will be owned by BET. Receipt of any prize is conditioned upon compliance with all applicable federal, state and local laws, rules and regulations. All federal, state and local taxes associated with the receipt or use of any prize as well as any other costs and expenses associated with prize acceptance and use (including, but not limited, any costs to produce short film which exceed $100,000) are the sole responsibility of the grand prize winner. Prize cannot be transferred for substituted by winner. BET reserves the right to substitute a prize of comparable or greater value, at its sole discretion. All prize details are at BET’s sole discretion. BET will oversee the production of the Prize Film as well as development and approval of the production budget. The production must be completed by November 30, 2010. As a condition of receiving the grand prize, the winner agrees to make him/herself available for promotional activities by Sponsors in connection with the Contest. Official Rules and Winner's List The Contest winner’s name and winning short film may be posted on www.bet.com. To obtain the name of the Contest winner available after January 10, 2010 or a copy of the Official Rules, send a self-addressed stamped envelope to: Lens on Talent: Up: Johnson & Johnson Presents A Filmmakers Challenge, Attention: Ralph Scott, 1540 Broadway, 27th Floor, New York, NY 10036. Specify whether you would like a copy of the winner’s name or Official Rules.

Contest Restrictions By participating in this Contest, you hereby agree to release and hold BET, Johnson & Johnson. and their respective parent companies, subsidiaries, affiliates and advertising and promotion agencies and all of their respective officers, directors, employees, shareholders, customers, licensees and agents (collectively, “Released Parties”) harmless from any and all claims, liabilities, damages, losses, costs and expenses, including attorneys' fees and costs, arising in whole or in part, directly or indirectly, from your participation in the Contest or any Contest-related activity or acceptance, possession, use or misuse of any prize. You further agree to indemnify, defend, and hold Released Parties harmless from and against any third party claims, liabilities, damages, losses, costs and expenses, including attorneys' fees and costs, arising from or relating to this Contest or any Released Party’s use of the short film in accordance with the rights granted herein. Released Parties shall not be responsible for any malfunction, failure or delay of any telephone or other communications network or computer system, equipment, software or program, or any combination thereof, including any injury or damage to your or any other person's computer related to or resulting from downloading or other activity in connection with your participation in this Contest or for any other errors or problem of any kind, whether computer, network, technical, mechanical, typographical, printing, human or otherwise, relating to or in connection with this Contest, including, without limitation, any errors or problems which may occur in connection with the administration of the Contest, the processing or judging of entries, the announcement of the prize or in any Contest-related materials.

Miscellaneous These Official Rules shall be interpreted in accordance with New York law without regard to its conflicts of laws provisions. You agree that the state and federal courts located in New York shall have exclusive jurisdiction over any dispute arising from or relating to these Official Rules, this Contest or your participation in this Contest. VOID WHERE PROHIBITED.
