Sunkist “It’s O.N. ‘08” Contest --- Official Rules. OFFICIAL RULES NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA (EXCLUDING PUERTO RICO, THE U.S. VIRGIN ISLANDS, AND OTHER U.S. COMMONWEALTHS, TERRITORIES AND POSSESSIONS).

1. Contest Overview and How to Enter: The Sunkist “It’s O.N. ‘08” Contest begins at 3:00 PM EST Monday, September 15, 2008 and ends at 3:00 PM Friday, December 19, 2008 The Contest will consist of three (3) separate phases. Overview: Phase One: Beginning Monday, September 15, 2008, until Monday, November 10, 2008 visitors standing in line at the BET studio location at 530 W. 57th Street New York, NY 10019 will be selected by BET.com for taping a freestyle rap performance. Videos of these contestants will be selected by BET.com and posted online, two videos for Round One and an additional video for each round for Rounds 2 through 4. In Round 2 the winner of Round 1 as determined by user voting will compete against a challenger video, selected by BET.com from among the taped performances. The winner of each subsequent round (3 and 4) as determined by user voter will compete against a challenger video selected BET.com from among the taped performances. Online viewers will vote to select the best rapper in each round. The winner of Round 4 will be the Phase One Finalist. Contestants must be 16 years or older for this phase of the contest. Phase Two: Contestants will log onto to BET.com to upload their own videos of their rap performances on one or more of four selected themes: (i)-“chillin” with friends, ii) staying connected, iii) being a trendsetter, iv) describing an intensely “fun” experience; and online voters will select the best of these videos to be the Phase 2 Finalist. Contestants must be 18 years or older for this phase of the contest. Phase Three: Online viewers will log onto BET.com to cast their votes to determine the Grand Prize winner, choosing between the Finalists from Phase One and Phase Two. The Grand Prize Winner,

who will receive a trip for two to BET SPRING BLING 2009 as detailed below in section 4, will be announced online Tuesday, December 16, 2008.

How To Enter: (i) Phase One: BET Studio Visitors Compete from Monday, September 15, 2008, until Wednesday, December 10, 2008 (“Phase One”). i To enter BET Studio Visitor portion of the Contest, (which will be taped between Monday, September 15, 2008, until Monday, November 10, 2008): Participants, who must be 16 years of age or older, must be physically waiting in the line, at times designated on the “It’s O.N. ‘08” Contest page on BET.com, to appear in the audience shows taped at BET Studios in New York City located at 530 W. 57th Street New York, NY 10019 between the dates of Monday, September 15, 2008, until Monday, November 10, 2008. During the first stage of the Contest starting on Monday, September 15, 2008 and ending on Monday, November 10, 2008, BET.com will randomly choose contestants from the BET audience lines in New York City to give them an opportunity to participate as a contestant in the Contest. To participate in the contest, entrants must perform a rap taped by BET.com that meets the criteria detailed below. BET.com, in its sole and absolute discretion, will choose two (2) contestants for Round 1 and one contestant for each subsequent round (Rounds 2-4) during Phase One, based on originality and creativity of their rap performances, to compete as one of four (4) pairs. Commencing on Tuesday, October 14, 2008 at 3:00 PM EST and ending on Wednesday, December 10, 2008 at 3:00 PM EST (the “Phase One Voting Period”) (as set forth in the schedule Section 5 below), BET.com users will vote to select the best performance of each round in Phase One. Limit of one vote per person. No person may enter votes by proxy for any other person. Each winner of a round Phase One will become a semi-finalist and will advance to the next round of competition, against a new challenger selected by BET.com until the final Round 4 competition is held and the Phase One Finalist is selected by user voting. The Phase One Finalist will be announced on Wednesday, December 10, 2008.

(ii) Phase Two: To enter the Home Video Upload portion of the Contest, 3:00 PM Tuesday, November 11, 2008 to 3:00 PM Tuesday, December 9, 2008 (“Phase Two”):

Contestants, who must be 18 years of age or older at the time of entry, must create a rap video which complies with the standards described below and upload that video to the BET.com 106 & Park website between 3:00 PM Tuesday, November 11, 2008 and 3:00 PM Tuesday, November 25, 2008. Visitors to the website will vote on the best Phase Two video between 3:00 PM Tuesday, November 25, 2008 and 3:00 PM Tuesday, December 9, 2008. Limit of one vote per person. No person may enter votes by proxy for any other person. The Phase Two Finalist will be announced on Tuesday, December 9, 2008. To enter Phase Two, go to www.BET.com, log on to www.BET.com/contests and enter the registration information. Click on “Enter Contest” and complete the entry form. Each Phase Two Entrant will upload a video to BET.com showcasing his or her talent in rapping. All video submissions must be received by BET.com between 3:00 PM Tuesday, November 11, 2008 and 3:00 PM on Tuesday, November 25, 2008. By submitting a video in the Contest, the Entrant represents and warrants to the Sponsor that the Entrant is 18 years of age or older on the date of submission, is the only person appearing in the video, and is the copyright owner of the video and rap content. If more than one person appears in the video, the entry will be disqualified. With respect to submissions (videos and rap), entrants unconditionally assign and transfer to the Sponsor all rights, title, interest and claim, which thereafter including, without limitation, the copyright therein. Sponsor shall have right to use, alter, assign or dispose of such submissions however it sees fit without approval of entrants. By submitting, entrants agree that they have no right to bring (and covenant not to bring) any claim, action, or proceeding of any kind or nature whatsoever against Sponsor or any other Contest Entities (as defined in Paragraph 2) in connection with this Contest. In order to qualify as a winner and to accept the Prize, entrants will be required to sign documentation confirming that the Sponsor has the right to use entrant’s name, image, likeness, and biographical materials, as well as entrant's submission for advertising, publicity, promotion or other purposes including without limitation online announcements without additional compensation, unless prohibited by law.

The rap video submissions must comply with the following standards: a)

Each contestant must rap about and mention one or more of these four themes in their video entry: i)-“chillin” with friends, ii) staying connected, iii) being a trendsetter, iv) describing an intensely “fun” experience; Rap video must be no less than three minutes and no more than five minutes (03:00-5:00) in length; Rap video must include only the image of entrant and not anyone else; Rap lyrics and musical composition must be 100% original and not infringe upon any copyrights, trademarks or other intellectual property rights of a third party; Rap must be “radio-friendly” and contain absolutely NO obscene, profane or other objectionable words; sexually explicit or derogatory lyrics, images or gestures or objectionable content of any form and; Rap must not mock, ridicule or disparage the contest sponsors, or their products or services, or any ethnic, religious or national group, gender, or sexual orientation.

Sponsor reserves the right in its sole and absolute discretion to reject a submission and disqualify any entrant that violates these standards.

Phase Three: From 3:00 PM Tuesday, December 9, 2008 to 3:00 PM Friday, December 19, 2008, (“Phase Three”) visitors to the website will vote on-line between the two (2) Finalists selected during Phase One and Phase Two of the Contest and the Finalist with the most cumulative votes will be named the Grand Prize Winner. Limit of one vote per person. No person may enter votes by proxy for any other person. The Grand Prize Winner will be announced Friday, December 19, 2008. Sponsor assumes no responsibility for any computer, technical, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability, or garbled or jumbled transmissions, or service

provider/Internet/website/use net accessibility or availability, traffic congestion, or unauthorized human intervention. Sponsor reserves the right to modify, suspend or terminate the promotion in whole or in part by giving such notice, in any form and manner deemed appropriate by Sponsor. Should promotion be modified, suspended or terminated as aforesaid, the prize may, in Sponsor’s sole discretion, nevertheless be awarded from all eligible entries received prior to (or after, if applicable) the modification, suspension or termination and in accordance with these Official Rules. 2. ELIGIBILITY: This Contest is open only to legal residents of the 50 United States and the District of Columbia (excluding Puerto Rico, the U.S. Virgin Islands, and U.S. other commonwealths, territories, and possessions) For Phase One, contestants must be 16 YEARS OR OLDER as of Monday, September 15, 2008. For Phase Two, contestants must be 18 YEARS OR OLDER as of the date of submission. Employees, and their immediate families (spouses, parents, children, siblings, and their respective spouses), including household members of Dr Pepper/Seven Up, Inc., Dr Pepper Snapple Group, Inc., Black Entertainment Television LLC, and BET Interactive, LLC and their respective affiliates, subsidiaries, divisions, advertising and promotion agencies (“Contest Entities”) are not eligible to enter. VOID IN PUERTO RICO, OUTSIDE OF THE UNITED STATES, AND WHERE PROHIBITED BY LAW. This Contest is subject to all federal, state and local laws of the 50 United States and the District of Columbia. By entering this Contest, each entrant agrees to release and hold harmless the Contest Entities and their respective parent companies, affiliates, subsidiaries, agencies, employees¸ officers, directors, representatives, and advertising and promotion agencies from any injury, loss, death, damage, action, claim, demand or other liability that may occur from entrant’s participation in this Contest or from the acceptance or use of any prize awarded, or attendance at any event. Sponsor reserves the right to verify eligibility qualifications of any winner. U.S. law governs this Contest. Sponsor further reserves the right, in its sole discretion, to modify these rules as necessary. By entering, entrants agree to be bound by these Official Rules. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prizes. Sponsor reserves the right to modify, suspend or terminate the promotion by giving such notice, in any form and manner deemed appropriate by Sponsor. 3. CONDITIONS OF ENTRY: (A) For Phase One all Contest Entrants must (i) read and acknowledge that they understand and will comply with these Official Rules, and (ii) agree to and sign any other documentation required by Sponsor in connection with their participation in the Contest. Sponsor will select, in its absolute and sole discretion, the people who may participate as Phase One Contestants in the Contest. (B) For Phase Two, an eligible entry must be received via online as described above. Incomplete entries are void. By entering, Entrants agree to comply with these Official Rules, including all eligibility requirements. To enter Phase Two, your computer must accept cookies, or any successor or similar technology (now known or hereafter devised or discovered), which may be used by Sponsor for the purposes of entry tracking and as set forth in BET.com’s Privacy Policy. Entry will be deemed to have been submitted by the authorized account holder of the e-mail address from which the entry is made. Proof of online submission will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible or liable for lost, stolen, mutilated, incomplete, incorrect, delayed, late, interrupted, illegible or misdirected entries. All entries become the property of Sponsor and will not be acknowledged or returned. 4. PRIZES: One (1) Grand Prize Winner (“Winner”) will receive a trip to Florida for the Winner and Guest to attend BET’s SPRING BLING 2009 event in April. The exact dates and location of the Spring Bling event have not yet been determined. Grand Prize includes two (2) round-trip coach class airfares to the closest major gateway to the Spring Bling event from the closest major gateway airport to the Winner’s residence; ground transportation to and from the airport and hotel, and to and from the hotel to the Spring Bling venue (to be decided); two (2) nights stay in a hotel (double occupancy); and a HD digital camcorder. Approximate Retail Value (ARV) $3,500.00. ARV may vary depending on time of booking and place of departure. Prize does not include meals, gratuities, ground transportation to and from Winner’s residence and the closest gateway airport within 75 miles, and any other expenses not specifically listed herein shall be the sole responsibility of the Winner and his or her travel companions. Travel dates and accommodations subject to availability and scheduling; certain restrictions and blackout dates may apply. Prize package has no cash redemption value. If Winner cannot travel on any specified dates, prize will be forfeited and the prize may be awarded to an alternate winner. If Winner is less than the legal age of consent or 21 years of age, the Guest must be the Parent or legal Guardian of Winner. Guest must be the legal age of consent or 21 years of age or older at the time of travel or the Winner must be the parent or legal guardian of Guest. Winner is responsible for obtaining all necessary and required travel documents. ANY FEDERAL AND STATE TAXES ON A PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. No substitution or transfer of prizes permitted, except at the sole discretion of Sponsor. If prize, or any portion of a prize is unavailable, Sponsor reserves the right to substitute that prize or portion of the prize with a prize of equal or greater value. All prizes will be awarded, provided they are properly claimed.

5. DETERMINATION OF WINNERS: Visitors to the website will vote on-line on the two (2) Finalists selected from Phase One and Phase Two of the Contest and the Finalist with the most cumulative votes in Phase Three will be named the Grand Prize Winner. Sponsor will notify winners by phone and/or email after the drawing. If a potential Winner cannot be reached after a reasonable effort has been exerted; if he/she is found to be ineligible of if he/she cannot or does not comply with these Official Rules, potential Winner will be disqualified and an alternative potential Winner may be selected at Sponsor’s sole discretion. In the event that there is more than one (1) person who obtains the highest number of cumulative votes in the Phase One, Two or Three voting, BET.com will conduct a random drawing of the persons with the highest number of cumulative votes to choose a Winner. 6. GENERAL CONDITIONS: Potential winners (their parent/legal guardian if potential winners are residents of a jurisdiction that deems them to be minors) will be required to sign and return any applicable documents sent by Sponsor related to the Contest, which may include, but are not limited to a Letter of Prize Acceptance and an Affidavit, Waiver of Liability, Publicity and Travel Release within five (5) days of notification. Failure to return documents as specified or if prize notification is returned as undeliverable will result in entry being disqualified, and an alternate potential winner being selected. Authorized account subscriber is deemed to be the natural person who is assigned an email address by an Internet access provider, online service provider or other organization, which is responsible for assigning email addresses email, addresses or the domain associated with the submitted email address. 7. DISPUTES: As a condition of participating in this Contest, entrant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the State of New York having competent jurisdiction, which Court shall apply the laws of the State of New York without regards for doctrines of Conflict

of Law. Further, in any such dispute, under no circumstances will entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, nor consequential damages, or any other damages, including attorney’s fees, other than entrant’s actual out-of-pocket expenses (i.e., costs associated with entering this Contest), and entrant further waives all rights to have damages multiplied or increased. 8.
