Dear Calero: This letter, when signed, will confirm that Empresa Cubana del Tabaco (“Registrant”) owns the trademark registrations in the United States Patent & Trademark Office (“USPTO”) for the marks EDMUNDO DANTES, Registration No. 1957322, and EDMUNDO DANTES LA HABANA CUBA, Registration No. 1948393, both in International Class 34, and both for the following goods set forth in the registrations: “cigarettes, cut tobacco, rappee, manufactured tobacco of all kinds, matches, tobacco, pipes, pipe-holders, ashtrays not made of precious metal, match boxes, cigar cases and humidors.” Pursuant to our discussions, Registrant hereby consents to the use, to the extent permitted by United States law, and to the registration in the USPTO, of the trademark EDMUNDO DANTES, Application Serial No. 79062823, by Corporacion Habanos, S.A. (“Applicant”) for the following goods: in IC 16, coasters; in IC 21, glassware, porcelain, and earthenware; and in IC 33, alcoholic beverages, or as the identification of goods may be amended in conformity with the USPTO Office Action, dated December 31, 2008. The basis for this consent is our mutual determination that there is no likelihood that consumers have been or will be confused as a result of the use and registration of the marks by Registrant and those by Applicant. This determination is supported by the following facts, taken together or in combination: 1) the design of Applicant’s mark is very different from the design of Registrant’s marks; 2) the goods of the parties identified in their respective marks are in different classes and are distinctly different from each other; 3) the business relationship between the parties will allow for their cooperation to avoid any possibility or concern of likelihood of or actual confusion; 4) the Examiner has found that there is no likelihood of confusion between Registrant’s mark and Applicant’s mark in IC 16 and 21; and 5) the parties have no knowledge of any instances of actual confusion.

In order to carry out the intent of this consent, the parties agree to continue their cooperation in any reasonable action to avoid confusion and to correct any instances or likelihood of confusion which may come to their attention.
