Albert M. Torres, limited partner, Filipino, residing at Lot 1A Blk 15, Timoteo Drive, Brgy. Cuayan, Angeles City, Pampanga; Arceli T. Manalo, limited partner, Filipino, residing at 428 Mc Arthur Hi-way, San Francisco, Mabalacat City, Pampanga; Marilou T. Lorenzo, limited partner, Filipino, residing at 1124 Brgy. Malinta, Los Baños, Laguna; Pepito M. Torres, Jr., general partner, Filipino, residing at 0914 Brgy, Mabiga, Mabalacat City, Pampanga; Gerry M. Torres, limited partner, Filipino, residing at _____________; Marpe T. Gualberto, limiter partner, Filipino, residing at 9015 Tagaytay Sta. Rosa road, Purok 4, Puting Kahoy, Silang, Cavite; all of legal age, witnesseth:

That the above-named partners have formed a limited partnership among themselves under the name and style of TORRES TRADING Ltd.;

2.

That the purpose for which the said partnership is formed are: a. To engage in trading, buying and selling of different goods, products or equipment. b. To establish and operate an office with incidental operations such as but not limited to: hiring of personnel, the purchase and disposition of properties, whether real or personal, and maintenance of records and accounts necessary to the operation of the office.

3. That the principal place of business of the partnership shall be at 0914 Brgy. Mabiga, Mabalacat City, Pamapnga; 4.

That the term for which this partnership is to exist shall be 50 years from and after the execution of this agreement;

5. That the capital of this partnership shall be NINE HUNDRED FITY THOUSAND PESOS (P 950, 000.00), Philippine currency, contributed in cash by the partners, as follows, to wit: Albert M. 6. That Pepito M. Torres, Jr., general partner, is hereby designated the manager of the partnership, with a monthly salary of P________________;

That this partnership shall be under Pepito M. Torres, Jr., as General Manager, who shall be in charge of the management of the affairs of the company. He shall have the power to use the partnership name and in otherwise performing such acts as are necessary and expedient in the management of the firm and to carry out its lawful purposes.

8. That the profits and losses shall be apportioned among the partners of the partnership pro-rata.
