NSS & PROPERTY OWNER SECRETARIAL SERVICE AGREEMENT ******************************************************************************************************************* This Agreement is entered into and made effective on this ________ day of _________________, 2009, by and between NUWAY SECRETARIAL SERVICES, hereinafter called “NSS”, located at: 1100 Melody Lane, Suite 112, Roseville, CA 95678 and, _____________________________________ ______________________________________________________ hereinafter called “Property Owner(s),” Located at _______________________________________________________________________________. This agreement will be in force for Sixty (60) days from the date of signing. WHEREAS, Property Owner(s) desires to seek assistance in obtaining relief from Property Owner(s) debt that is secured by his/her personal property. WHEREAS, NSS and its representatives is willing to refer the services of IDM. WHEREAS, NSS and its representatives provides, analysis and preliminary documentation work necessary to submit Property Owner(s) to IDM. NOW THEREFORE, the parties agree as follows: Property Owner(s) hereby engages NSS and its representatives to perform the services contemplated under this agreement. The NSS agrees to perform the following:  Prepare the necessary preliminary documentation for the purpose of entering Property Owner(s) into the IDM Program.  Perform a review of the Property Owner(s)'s provided credit report after six (6) months.  NSS does not provide legal services or advice. Any information or example shown to the Property Owner(s) is intended for use by the Property Owner(s) in making their own determination. The Property Owner(s) agrees to the following:  Provide any and all necessary documents requested by NSS and its representatives or IDM.  Provide the company with the bank name and account number for each note to be processed  Provide a current payment statement for each note to be processed.  Sign the "Limited Power of Attorney”  Maintain a log of all phone calls received by the bank, or its agents (collection). The log must include the call time, the caller’s name, name of institution, phone number, extension (if any).  Notify the company of all logged calls within 48 hours. It is best to call, then follow-up with an email or letter.  Forward any mail from the bank or its agents (collection) to the company via fax, email, or letter within 48 hours to IDM.  Property Owner recognizes many situations are unique, and accordingly IDM may be open to discuss and design a specific solution to meet Property Owner(s) needs.  Important note: Due to time-sensitive considerations, if letters are held by the Property Owner(s) for longer than Three (3) days, the entire efforts of IDM on Property Owner(s) behalf Page 1 of 2

can be jeopardized. Forward any mail sent by the Lender to IDM within forty eight (48) hours via fax, email, or letter.  _______/______ INITIALS For the services provided by NSS and its representatives, the Property Owner(s) agree(s) to pay and NUWAY SECRETARIAL SERVICES agrees to accept a secretarial fee of $____________ ( ____________________________________________ ) upon the execution of this agreement.  _______/_______ INITIALS Preferred method of payment shall be US Postal Money Order to: “Nuway Secretarial Services”, address: “1100 Melody Ln., #112, Roseville, CA 95678”  _______/_______ INITIALS You may cancel this transaction, without any penalty or obligation, within Five (5) business days from the date below. To cancel this transaction, mail or deliver a signed and dated copy of the cancellation notice to NUWAY SECRETARIAL SERVICES at the address located above no later than midnight of the Fifth (5th) business day. If any provision of this Agreement is, or is declared to be invalid or unenforceable, such invalidity or unenforceable provision shall not affect either the balance of such provision, to the extent it is not invalid or unenforceable, or the remaining provisions hereof. No amendment of this Agreement shall be effective unless embodied in a written instrument executed by all of the parties. The Agreement shall be governed by and construed in accordance with the Laws of California. In the event of litigation between the parties arising from this Agreement, the prevailing party shall be entitled to reasonable attorney fees in addition to all other relief. Either party may cancel the contract at any time by notification to the other via US certified mail with verified proof of delivery. This Agreement shall be governed by and construed in accordance with the laws of the State of ____________________, and any dispute(s) arising hereunder will be adjudicated in the State Courts of ____________________. This Agreement represents the entire understanding and agreement of the Parties, and supersedes all prior communications, negotiations, or agreements relating to the subject matter hereof except for the Business Equities of America non-circumvention agreement which shall be considered as a part of this agreement. Any modifications to this Agreement must be made in writing, and signed by the parties.
