DEED OF ABSOLUTE SALE KNOW ALL MEN BY THESE PRESENTS: This DEED OF ABSOLUTE SALE is made, executed and entered into by: ELISEO S. CANILAO INC., a corporation duly organized and existing under the laws of the Philippines with principal office address at #5 Bayanihan Street, West Triangle, Quezon City, duly represented by ALICIA C. GOROSPE hereinafter referred to as the SELLER, And CHERRY AMOR M. ESPIRITU, of legal age, Filipino, single and a resident of Blk. 10 Lot 29 St. Jude Village, San Agustin, City of San Fernando, Pampanga, hereinafter referred to as the BUYER, WITNESSETH WHEREAS, the VENDOR is the registered and lawful owner of a parcel of land with improvements located at Crisostomo Ibarra Street, Josefaville 1, Malabanias, Angeles City, Angeles City, Pampanga and covered by Transfer Certificate of Title No. 48055 containing an area of Four Hundred (400) Square Meters more or less and more particularly described as follows: TRANSFER CERTIFICATE OF TITLE NO. 48055 A parcel of land (Lot 6, Block 5, of the subdivision plan (LRC) Psd-64180, being a portion of Lot 714 Angeles Cadastre, LRC Cad. Rec. to. 124), situated in the Barrio of Santol, City of Angeles, Island of Luzon. Bounded on the NE., point 1 to 2 by Road Lot 4; on the SE., points 2 to 3 by Lot 7, Block 5; on the SW., points 3 to 4 by Lot 646-D, SQO-7384 and on the NW., points 4 to 1 by Lot 5, Block 5, all of the subdivision plan. Beginning at a point marked “1” on plan, being N. 88 deg. 40’W., 501.45 m. from B.M. No. 44, Angeles Cadastra; thence S. 33 deg. 52’E., 16.00 m. to point 2; thence S. 56 deg. 09’W., 25.01 m. to point 3; thence N. 33 deg. 52’W., 16.00 m. to point 4; thence S. 56 deg. 09’E., 25.01 1

m. to the point of beginning; containing an area of FOUR HUNDRED (400) SQUARE METERS more or less. x x x WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the above-mentioned property for the amount of FOUR MILLION SEVEN HUNDRED THOUSAND PESOS (Php4,700,000.00) Philippine Currency. WHEREAS, the Earnest Money tendered by the BUYER in the amount of Php50,000.00 shall be deducted from the purchase price of the said property. WHEREAS, Capital gains tax, Brokerage fees, Notarial fees shall be on account of the SELLER. WHEREAS, the updated payment of utilities, association dues as well as the return of rental deposits on the existing tenant pertaining to the said property shall be on account of the SELLER. WHEREAS, Documentary Stamp Tax, Registration Fees and all other miscellaneous expenses shall be for the account of the BUYER. WHEREAS, upon full payment of the purchase price, the succeeding monthly rent and or security deposits shall be transferred to the BUYER and the SELLER shall cause the introduction of the BUYER to the tenant. Likewise, the SELLER shall make arrangements in the execution of a new lease contract in favor of the BUYER. NOW THEREFORE, for and in consideration of the sum of FOUR MILLION SEVEN HUNDRED THOUSAND PESOS, (Php 4,700,000.00) Philippine Currency, hand paid by the BUYER to the SELLER, the SELLER DO HEREBY SELL, TRANSFER, and CONVEY by way of Absolute Sale unto the said BUYER, her heirs and assigns, the certain parcel of land together with all the improvements found thereon, free from all liens and encumbrances of whatever nature including real estate taxes as of the date of this sale.
