BIOS of Development Team: Joel W. Smith ~ CEO The co-founder of Monte Cristo Resorts International with his son, Randall Smith. Joel Smith has over thirty years experience as a real estate broker and developer. He has built and managed properties both large and small from a single tenant to hundreds of tenants in a corporate real estate development. He has retired from the management of these properties so he can manage the development of Monte Cristo Resorts International. He has several international real estate deals completed in Europe and in the Caribbean basin. He has extensive construction work experience in Europe and Germany going back all the way to his days in the Corp of Engineers in the US Army. He has built office buildings, single homes, strip centers and automotive construction facilities. He has constantly emphasized new technological construction techniques. The Reward Walls construction technique along with high end solar technology will be the biggest high end project to date he has managed. Building in a resort location it is important to keep the natural surroundings intact as much as possible. This with the in depth suggestions of Adele Santos, the head of architecture from MIT will allow him to build the most sophisticated solar powered resort on the face of the earth. He has begun work on the placement now of 100,000 square feet of silicone cells on the resort property that will create significant shading and power supply at the same time. Randall Smith ~ President The co- founder of Monte Cristo Resorts International with his father Joel W. Smith, Randall Smith has a degree in Business from Samford University and a Masters Degree in Project Management and Alternative Fuel Technologies from Villanova. He has been involved with his father with construction technology and communications and alternative energy technologies. He specializes in Solar Power as it relates to Project management. This will be the third such project he has developed with the first two being cellular telephone coverage and band with projections for two way communications. These markets were in Cheyenne, Wyoming and Northeast Oklahoma. He was awarded the Brava-Zulu award from Federal Express for reorganizing the delivery and pick up routes for Federal Express in the Birmingham, Alabama MSA. This project saved over 2000 man hours and over 1.3 million dollars in work dollars due to more efficient use of man power. He is managing the coordination of sales then into construction with the efficient use of resources for the Monte Cristo Resort project. His father will manage the cash flow expenditures for the construction side as it relates to the sales quotas. He will primarily drive sales then coordinate construction and management issues as the resort comes out of the ground into a daily managed facility. John Winklemann ~ Executive Vice President (Sales) John is on our staff and is a former regional sales director/VP for Federal Page 1 of 7
Express. He will implement the sales systems and referral networks to increase our monthly sales. He is in Memphis, Tennessee. He has written books and trained the sales force for Federal Express Airlines. He will institute a process that all our customers will go through. It will be the standard for buying either a 1/8th fractional all the way to whole ownership. John also has a working relationship with Reward Walls and their resort and beach related construction techniques. The sales process he has envisioned will include a fly and buy program to bring the possible clients to us after they have been pre qualified by N5R and Resort Owners Group. The fly and buy will include our hostess/ fitness models giving them a tour of the location, the sales office, the entire island and transportation and airline facilities. They will be entertained with a beach party at the construction site on the beach. Their trip will end with a purchase contract in most cases. John has done research that indicates 120 couples will participate in the fly and buys on a monthly basis. The close rate varies from 25% up to 30% in current economic and market conditions. This will equate to 30-35 sales per month. This generates 1.5- 1.75 million dollars in sales per month and will sell the resort out inside 30 months. The first six months 9 million will be collected. The second six months the number jumps to 18 million. The third six months the number hits 27 million. One more six month rate of sales that equals 30 a month and the resort is sold out in 36 months total. After the first 18 months you will see 27 million in collected sales dollars every six months. Steve Nicholson ~ Real Estate Development Steve will serve as the Sales Director for the Cozumel office. He will be primarily a local asset due to him living there for the past eight years. Steve has spent ten years in Playa del Carmen, Mexico selling land assets and tracts all over the Yucatan peninsula. With Steve living there, he gives us a unique advantage due to having local banking (Scotia Bank), legal and architectural and real estate assets already in place which are trusted and have shown to be trustworthy over the past ten years. Steve will recommend and help hire five or six local sales agents who will work coherently with Gary Carter and Resort Owners Group to develop our sales team. Steve will also help place the workforce for the day to day operations and running of the hotel , concierge and hospitality side of the business including the spa and gym areas. Steve’s greatest value to the project is his vast amount of knowledge regarding resources, assets and people in the local area we will draw from to help facilitate the building of the resort. Bill Robertson ~ Construction Bill will be responsible for consulting and field deployment of the construction company hired to build the resort. He has twenty years experience in building and managing commercial, retail and industrial real estate project developments. Bill has built corporate office buildings and headquarters, Home Depot Strip center malls, Waffle House locations, Arby’s, Jack’s Hamburgers, Comfort Inns, Holiday Inns, Bonanza Steak Houses, Hilton hotels, Ramada Inns retail strip centers large and small over the past twenty years. Bill will be the Construction General Contractor for Monte Cristo Resorts International on all our construction projects. Page 2 of 7
Digby Jarman ~ Finance, Accounting and Cash Flow Outlay Digby's work you have seen. The results of the teams ideas are illustrated on the spreadsheets and business plans you have read. Digby puts all ideas to paper. He is a financial analyst who will give the team our financial condition every morning before we start the days work once funded. Digby, to give you an idea how tight he is with figures has a running spreadsheet for every credit card payment and purchase for every card of his since 1985! This absolute desire for perfection is perhaps our greatest asset once we are funded. Digby will be in Mexico at the Cozumel sales office and lives in Brighton, England! He will advise and monitor the accounts daily to help us spend the appropriate dollars on the appropriate issues on a daily basis. Crystal Callans ~ Public Relations Coordinator Crystal is a fitness model and business entrepreneur. She finished second in the ESPN Miss Fitness America Competition in Miami Florida last year. She is originally from Birmingham, Alabama and has several years experience in the cruise industry and real estate property management. She has stopped all her outside activities to allow her full time participation in building Monte Cristo Resorts International. She continues to train but her main aspect with Monte Cristo will be to schedule the clients in and out of Cozumel and to assign our array of hostess models to each client. Her outgoing professionalism will portray to our clients the fit high tech lifestyle available to all our possible buyers at the resort. She will also work in the radio, print and television aspect of our PR spots and will coordinate calendar work for the resort. Ashley Oglesby ~ Executive Administrative Assistant Ashley is very experienced in Public Relations and Business operations. Her degree is in Corporate Logo Branding. She has several years experience operating spas, fitness centers and chiropractic clinics. She has collections experience and is a 10 year calendar and runway model who has magazine and New York Broadway experience. She will institute the Law of 250 into the Monte Cristo corporate culture. This is a referral network that keeps Monte Cristo in front of all our clients on a constant basis. How you ask? She will have wedding dates, birthdays, kids birthdays, Mothers Day, Fathers Day, Valentines Day, Christmas, New Years and Thanksgiving reminders from the corporation. She will manage this by very in depth data base she will develop as the sales of the resort begin. In cohesion with this referral network she will begin to build the corporate logo branding images in the minds of current clients and future ones as well. Misty Kelley ~ Marketing, Public Relations and Sales Misty is a fitness model and former contestant in the Miss Universe contest. She has dual citizenship being an American citizen and citizenship from Greece as well. She was born there while her mother was visiting her parents who still live Page 3 of 7
in Greece. She has a degree in corporate marketing and has done extensive work for Coca Cola, Ujena and Venus swimwear, Victoria’s Secret and various regional and local sportswear and swimsuit vendors. She, like Crsytal will develop the calendar work for Monte Cristo and coordinate the tours and client needs and concerns pre and post sales. Misty will develop the 24 hour concierge part of Monte Cristo and develop the Monte Cristo stock exchange. When customers book their times at the resort they will receive a list of items they wish to have in their condo when they arrive. This is the Monte Cristo "stock exchange" (stocking their condos with soft drinks alcohol, etc.). Another positive aspect of Monte Cristo. Lou Niska ~ Management and Hotel Operations Specialist for Resort Operations Mr. Niska has a vast array of experience. He owned and operated Salt City Management Company and Impact Strategies Inc. He has a great deal of experience in purchasing properties and will utilize these talents as he has demonstrated in the past. Mr. Niska has purchased 392 properties to date. He has closed as many as 53 properties in a single year and 12 in a single month. His particular set of skills gives him a unique and valued perspective on deciding which properties are the ones that best fit our business model and how to align the appropriate services and amenities with these real estate resort residences. He is a key management person who adds much value to our team.He will give our clients a new and varied amount of buying choices in financing and/or outright cash purchase or in a self directed real estate based IRA or Keough/401K. He will assist in the vendor area when we begin to purchase furniture, LCD’s, corporate design work and the like. He lives in Miami , Florida and will be in Cozumel working in the sales force until construction begins then he will sift his focus to the vendor related areas. He is a contract specialist. He is a tough nut to crack and will get Monte Cristo highly discounted vendor contracts due to his 20+ years of experience. Roman Brodcharuk ~ N5R Marketing Has sold over 5 billion dollars of resort real estate properties in the past 60 months.N5R has done this in ten different countries on ten separate projects in the past decade He will provide us with a 600 page marketing plan that will generate 6000 calls monthly to pre qualified selected prospects. Out of that 6000 only 10% (600) we will actually speak with. Out of that 600 only 30% will have enough interest to come take a look at Cozumel (180). We will do a fly and buy program with these prospects. They will fly into Cozumel and spend 2 days looking at the property and the surrounding amenities. It will cost $2500 per couple X 180 = $450,000.00. Now we will close 25% of these prospects or 45 sales. Those 45 sales total $6,150,000.00 in monthly sales. That's a 13.6 times return on investment monthly Current worldwide economic conditions have seen a 20% drop in his sales efforts but factoring that in would still give Monte Cristo 36 sales per month which is 6 more than in the monthly projections of our spreadsheets. Gary Carter ~ Resort Owners Group Gary Carter is the founder and president of Resort Owners Group he has agreed to be the principal sales group for Monte Cristo Resorts International. Media continues to pour in that Fractional Ownership is the one area of the resort industry that is growing in popularity. The following is a short chronology on how ROG has developed North America's most affordable & most flexible Resort Home ownership model... The ROG Model!!! 1...Beta Test: ROG’s Founder sold 8 owners using The ROG Fractional Model on a golf course in Scottsdale, Arizona...prior to 2008. ROG's fractional model solved all of the hurdles/issues that Timeshare and Whole Ownership had experienced. 2...Test Phase: After months of creative and development, the ROG’s Founder sold 144 fractional interests at the 3,000 acre "Award Winning" PGA Village (Port St. Lucie) Florida project, using The ROG Fractional Model...with no real website, no marketing tools and none of the current alliances or partnerships...sold prior to 2008. The benefits of the fractional model were so compelling that many buyers purchased all of the fractions (whole ownership with their friends and family). At the December 12-14 opening weekend launch, $1.1M was sold...forecast is for $1M/month in sales throughout 2009 using The ROG Model. In November 2008 - ROG licensed and created the RED Mountain Fractional Club in interior BC...Awarded 6th Best ski area in North America in SKI magazine the developer is using all aspects of The ROG Model. RED Mountain launch date is January 5th, 2009. Four of North America’s Premier Resort Projects are all now using the ROG Model with full reciprocal use to owners!!!

In December 2008 alone, eight additional projects were referred to ROG from ROG’s alliances, and sources, and ROG believes that several new licenses will be signed in Q1 - 2009. 5....2009 Growth Phase: ROG has in excess of 15 projects totaling several $billion in the ROG pipeline plus, several new sales alliances and marketing deals. ROG Revenue Model Comment: At $1.1M in sales (in the opening weekend) in the California project, ROG earns over $90,000 in setup and license fees. With the developers estimate of $1M sales/month, the revenue from this one site, would top $700,000 for 2009. And, this doesn't take into account revenue generated from other sources on this site such as ROG operating fees. ROG currently has four projects being sold and with the projects in the pipeline, ROG could scale this revenue model across many projects. It becomes clear to see that with only 20M shares outstanding, at $.50/share, how this becomes a profitable investment. Finally: Clearly The ROG Model is benefiting from current market conditions as developers and consumers look for an affordable solution....ROG's.
