Appearance Agreement This contract for the personal appearance of Viktory, Canton Jones, Marvin Winans Jr. (Herein called ARTIST) through his/her duly authorized agent, Viktorious Music Group L.L.C (hereinafter called AGENT) on the engagement described below is made on 11/19/2009 by and between ARTIST and PRESTON THOMPSON (herein called SPONSOR) whose address is

2. Date of Engagement: January 20st, 2010 TOTAL COST: $6000

3. Compensation agreed upon: SPONSOR to make payments as follows: Deposit of $3000.00 is due with the signed contracts no later than November 27th, 2009. Payments are due via CERTIFIED Check or PAYPAL made payable to Viktorious Music Group. Balance of monies due to ARTIST 1 week (7 days) prior to ARTIST going on stage, via CERTIFIED Check or CASH. Make balance check payable to Viktorious Music. If such compensation is not paid as stated above, ARTIST may refuse to perform, in such event, SPONSOR shall remain liable to ARTIST for the amount not paid. If full deposit is not received by due date, FULL COMPENSATION is due on demand. ARTIST shall receive 15 complimentary tickets within first 10 rows. 4. ARTIST Agrees to provide travel as follows: SPONSOR must provide ALL ground transportation between Airport, Hotel and Venue. Ground transportation and hotel form must be completed and confirmed no later than 21 days prior to event. ALL travel and hotel details MUST be approved by ARTIST Management PRIOR to purchase. SPONSOR agrees to use ARTIST travel agent. 4A.

5. SPONSOR shall furnish for the engagement, at its own expense, the following facility: ___________________ for the performance, which shall be well-heated or air conditioned, depending on season, well-lighted, clean and in good order. SPONSOR represents that it has a lease for said facility, covering the date of the performance or has the written approval of the administrator of the premises for such engagement, and can be shown should AGENT request. 6. SPONSOR agrees not to make any sound or video recording or reproductions of the concert without written permission from the ARTIST or AGENT and record label. 7. ARTIST’s inability to perform. Neither ARTIST nor AGENT shall be liable for ARTIST’S failure to appear or perform by reason of or due to illness or physical disability of ARTIST, acts or regulations of public authorities, labor strike, civil unrest, interruption or delay of transportation, or any other cause beyond the control of AGENT. In such event, the monies previously paid to AGENT shall be returned to SPONSOR. 8. Cancellation of Performance. If ARTIST has arrived in the city of the engagement for performance and the event is cancelled for any reason other than fault of ARTIST, SPONSOR shall remain liable for the full amount due under this contract. SPECIAL PROVISIONS A. In the event SPONSOR refuses or neglects to provide any of the items stated herein, or fails or refuses to make any of the payments as provided herein, or fails to proceed with the engagement(s), ARTIST shall have no obligation to perform this contract and shall retain any amounts therefore paid to ARTIST or AGENT in his behalf by SPONSOR and SPONSOR shall remain liable to ARTIST for the contract price herein set forth. B. If ARTIST is available and inclement weather renders performance impossible or not feasible, SPONSOR shall nevertheless pay ARTIST full compensation as provided herein.

9. Status of AGENT. AGENT acts under this agreement as ARTIST’S agent in executing this agreement, but shall not be obligated under this agreement or be responsible for any acts or defaults of ARTIST. 11. Governing Law. This agreement shall be and construed and enforced in accordance with the laws of the state of Alabama. 13. Arbitration of Disputes. All disputes, claims and questions regarding the rights and obligations of the parties under the terms of this agreement are subject to arbitration. Either party may make a demand for arbitration by filling in writing with the other party within fourteen (14) days after the dispute arises. Thereafter, arbitration shall be conducted in Huntsville, AL by an arbitrator acting under the rules of commercial arbitration of the American Arbitration Association. 14 Entire Agreement. This agreement shall constitute the entire agreement between the parties and representatives. 15. Modification of Agreement. Any modification of this agreement shall be binding only if placed in writing and signed by all parties or an authorized representative of any party.
