In return for the use of the space assigned the Vendor by the Meriwether Lewis Memorial Eisteddfod Foundation (MLMEF), the Vendor hereby agrees to abide by all rules and regulations stipulated below. In return, the MLMEF promises to promote and advertise this event. PLEASE READ THOROUGHLY BEFORE COMPLETING (4 PAGES) This agreement is made and entered into by and between the Meriwether Lewis Memorial Eisteddfod Foundation (hereinafter "MLMEF") and the Vendor. This agreement is a legal contract and entitles the Vendor to vending space, as agreed below, during the Left Coast Eisteddfod, presented at McMenamin's Crystal Ballroom (hereinafter "the Crystal Ballroom"), located at 1332 W Burnside Street, Portland, Oregon. The Vendor agrees to abide by all the rules and regulations stipulated below. MLMEF agrees to provide vending space and to promote and advertise this event. 1. ( ) Single space booth 10 X 10 Vendor supplied table, $60.00. 2. ( ) Double space Booth 20 X 10 Vendor supplied table, $100.00. A deposit of one half fees is requested. [email protected] This Agreement is made between the Meriwether Lewis Memorial Eisteddfod Foundation (MLMEF or it's agent) and _________________________ named Vendor. MLMEF and Vendor agrees as follows: 1. NO EARLY TEAR DOWNS. Vendor will have their assigned vending area set up by 9:00AM and will complete tear down no later than 6:00PM. 2. MLMEF is required to carry special event liability insurance coverage for the event. As a part of this coverage, the insuring agency requires that we obtain certificates of insurance from all professional merchandise vendors to verify products liability. All vendors must provide certificates of insurance to the MLMEF, naming MLMEF and McMenamin's Crystal Ballroom as additional insured. The insuring agency and the Crystal Ballroom will receive a list of all vendors, along with copies of certificates of insurance. 3. Exhibitors/vendors will receive gate passes, which must be carried at all times. 4. Limitation of Liability: Agent and MLMEF assumes no responsibility for any property placed on the facilities by vendor and the Agent is hereby expressly relieved and discharged from any and all liability for any loss, injury or damage to persons or property that may be sustained by reason of the occupancy of the Crystal Ballroom under this agreement and all security or other protective service desired by vendor must be provided by separate agreement with the agent.

5. INDEMNITY: Vendor agrees to defend, indemnify and save the MLMEF, it's agents, their officers, agents and employees, harmless from any and all losses, claims, actions, costs, expenses, judgments, subrogations, or other damages resulting in death, or damage, including loss or destruction to property, of whatsoever nature arising out of, attendant to this agreement and contract. Vendor Shall not be held responsible for any losses, expenses, claims, subrogation’s, actions, costs, judgments or other damages, directly, solely and proximately cause by the negligence of the MLMEF or any of its agents. 6. COSTS AND ATTORNEY FEES: Should the MLMEF or its agents or vendors file suit or action against the vendor on any cause arising in any way from this agreement and contract, the vendor agrees to pay to the MLMEF such reasonable costs, such as attorney's fees and court costs, that the court having jurisdiction of the case may determine, in addition to costs and disbursement allowed to a prevailing party as a matter of law. 7. RESTRICTION ON EXHIBITS: The MLMEF and its agent reserves the right to restrict as allowed by law the operation of any exhibit which may become objectionable to exhibitors or to the public. 8. NOISE: No sound amplification devices may be used by exhibitors without the prior written consent of MLMEF. If MLMEF approves the use of any such devise, the exhibitor shall use the device in a manner that will cause the least disturbance. If MLMEF determines that any device so approved is causing unnecessary noise the agent may revoke the approval of the device and require the vendor to remove the device. 9. SHOW SERVICES: Tables, chairs and other materials not expressly covered by this agreement are the responsibility of the Vendor. As the Crystal Ballroom has a wooden dance floor, ANY TABLES AND/OR CHAIRS OR OTHER EQUIPMENT MUST EITHER HAVE RUBBER PADDING ON SURFACES THAT MAKE

CONTACT WITH THE FLOOR OR VENDOR MUST SUPPLY A PADDED CARPET UNDER THEIR EXHIBIT SPACE to prevent damage to the floor. 10. Vendors must accept Canadian currency. MLMEF will provide an exchange chart. 11. Fire and Life Regulations: All exhibits must comply with Appropriate Fire and Life Safety regulations. For information and or details contact the Portland Fire Marshall office. No combustible equipment shall be operated on the premises. 12. ELECTRICITY: Any additional power needs must be arranged through with MLMEF no later than 1 August 2009. MLMEF reserves the right to cut back power service to any exhibitor exceeding their allotted power use. 13. CANCELLATIONS / REFUNDS: If Vendor fails to pay the balance of space rental on or before 9:00 AM am on Thursday, August 20th, the Vendor's rights to exhibit may be canceled without further notice or refund of any deposit. If Vendor cancels its participation in the Festival, such cancellation shall be considered a default on its part, any monies paid hereunder shall be retained by the Agent as damages. Vendor and Agent shall be bound by the terms and conditions and rules for exhibiting in Left Coast Eisteddfod. 14. RIGHTS OF THE MLMEF IN THE EVENT EXHIBITION IS NOT HELD: MLMEF shall not be liable for any damages or expenses incurred by Vendors in the event the show is delayed,interrupted or not held as scheduled, and if for any reason beyond the control of MLMEF the Eisteddfod is not held. MLMEF may retain so much of the amount paid by Vendors as necessary to defray expenses already incurred by MLMEF.
