• Article 5. No part of the net earnings ot the oorporation shall inure to the benefit of, oJ: be distributable to its directors, officers, or other private persons, exoept that the cOrPora~ion shall be authorized and empowered to pay reasonable compensati'on for services rendered ~nd to nake payments and distributions in furtherance of the purposes set forth in these Articles of Incorporation. No substantial part of the activities of the corporation shall be the carrying "on of p~opaganda, or otherwise attempting to influence legislation, e~nd the corpor~tionshall not participate in, or intervene in (including the pUblishing or distribution of statements) any politi~~l campaign on behalf of or in opposition to any candidate for 'public otfice. Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt trom federal income tax under Code section 50l(c) (3). Article 6. Upon the dissolution of the corporation, the Board ot Directors shall, after paying or making provision for the payment of all the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, religious, literary, scientific or educational purposes as shall at the time qualify as an exempt organization or organizations under Code section 501(c)(3), as the Board of Directors shall determine. Any such assets<not so disposed of shall be disposed of by the Circuit Court of the cou'nty in which the principal office of the corporation is then located, exclusively for such pUrpOSI!S or to sUch or9~nization or orqanlzations, as said Court shall cletermine, which are or<;1anized and 'operated exclusively for such purposes. Article 7. The corpora~ion shall distribute its income for each tax year at such time and in such manner as not to become SUbject to the tax on unciistributed inconeimposed by 'Code section 4942. Further, the corporation shall not engage in any act of selfdealing as defined in Code section 4941(d) , nor retain any excess business holdings as defined in Code section 4943 (c) , nor make any investments in such manner as 'to incur tax liability under Code section 4944, nor make any taxahle expenditures aS'defined in Code section 4945(d). Article 8. All references in'these Articles of Incorporation to Code sections are to sections of the Internal Revenue Cdde of 1986, as a1Tl(,.nded, and shall include future amendlnents to such sections and correspondin<;1 provi~ions of future federal tax laws, all as from time to time in effect.
