Short-Take License Agreement This agreement is between Short-Take! (The TV Show), it's producers, related service providers and Filmmaker. Filmmaker agrees to grant License to Short-Take! in accordance with the terms of this agreement. In exchange for promotional consideration, filmmaker hereby agrees to license the Film submitted to Short-Take and it's producers, the right to airing of the Film on cable, satellite and/or other electronic media television networks, and syndicated television networks, Short-Take! online, and related program services. Granting of Rights: Filmmaker hereby grants to Short-Take and it's producers/directors, the non-exclusive license to broadcast and exhibit throughout the world the Film on cable, satellite and/or other electronic media television networks, and syndicated television networks, Short-Take! online, and related program services. Films selected for viewing shall not be edited, dubbed or revised for TV viewing by Short-Take! and its producers; however, Short-Take shall have the right to use excerpts of the Film for promotional purposes in any manner or media, which may include a compilation of Films by other Filmmakers, and may include the insertion of the Short-Take! logo and/or television or network logo during the airing of the show on television, cable, satellite, and syndicated network programming. Filmmaker also agrees that submission of Film for the purposes outlined grants to Short-Take! and its producers, the use of Filmmakers image, photo, name, or bio in printed media, broadcast, new media in perpetuity, in any manner deemed appropriate to promote the content of the television series Short-Take! without compensation. Filmmaker retains all elements of ownership rights to the film, including all copyright rights. Filmmaker agrees to obtain all clearances for all third party material and appearance, including music and all audio and visual elements embodied in the Film ("Clearances"). All such Clearances shall be provided upon submission of the Film. Filmmaker agrees to provide to Short-Take and it's producers, mutually agreeable delivery elements including, without limitation 1) Signed Release Agreement, 2) Music cue sheet, 3) Requested DVD format, 4) documentation of rights and clearances to use any and all third party materials (audio and visual) in the Film, 5) Image releases on all third party, 6) authorizations for all minors participating signed by parents and/or legal guardians 6) Sign-off on acceptance and acknowledgment of Submission guidelines and regulations, and agree to submit completed paperwork to the Film screening organization, Filmed N Color, Inc., 1255 Treat Blvd. # 300, Walnut Creek, CA 94597. Filmmaker agrees that final delivery of accepted submissions will be forwarded to Short-Take, and its producers, for production purposes. Short-Take, including it's producers/directors, are not now a signatory to any union, guild or other collective bargaining agreement having jurisdiction over the Film and shall not become a signatory or otherwise affiliate the Film with any union, guild or other collective bargaining agreement. Filmmaker agrees that he/she is not entitled to receive any consideration or compensation for the submission and if applicable, the airing of the show. Filmmaker is solely responsible for any and all union obligations and/or payments, including SAG, DGA, and WGA, that may be associated with the Film. Filmmaker represents and warrants to have (i) full legal right, power and authority to enter into this Agreement and perform the obligations hereunder (ii) have not entered into, nor will enter into any contract or other agreement which would conflict with, prohibit or interfere with the full performance of Filmmakers obligations

hereunder or with the full enjoyment by Short-Take and/or its producers of the rights granted herein; (iii) the full legal right to grant Short-Take and it producers all the rights granted herein and has or will obtain, at Filmmakers own costs and expense, the sole and exclusive rights to the use of any images, characters, music, visuals, character concepts and ideas contained therein (iv) the Film and all elements therein are furnished to Short-Take free and clear of any liens or encumbrances which might interfere with Short-Takes use throughout the world in its airing of Filmmakers film on cable, television networks, and syndications, and right to broadcast, distribute to cable, television networks, and for syndication, rebroadcast, retransmission, and that use by Short-Take will not infringe upon the copyright, trademark, literary, artistic, musical or any other rights of any third party, or defame, violate the right of privacy or constitute an invasion of any other rights of any person, firm or corporation nor require any payment or compensation by Short-Take and/or it's producers, directors, cable, TV or syndicated networks. Filmmaker agrees that payment of any music or visual rights is the sole responsibility of Filmmaker, and that Filmmaker has or shall have obtained and hereby grants to Short-Take! and its producers, at no additional cost to Short-Take! or its producers, the rights to the use of the filmmakers film for the purposes outlined herein; and that Short-Take! it's producers, cable, television and syndication networks, will not be required to pay any residuals, royalty fees, contributions or other benefits required under applicable guilds or publishing companies, copyright proprietors, unions or other agreements arising in connection with the production or exhibition of the Film. You may submit any visual format, including without limitation film, animation, music videos, and digital photography. Filmmaker agrees that any submissions that contain unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate law, exploit children or animals, tortuous, or is otherwise inappropriate, contains gratuitous violence, sexual content or nudity, or is deemed inappropriate or patently offensive, as determined by the screening organization, will be destroyed. Filmmaker agrees that Film will not contain any commercial tie-ins or advertisement for specific products or organizations. Any short that does not comply with any the Short-Take! vision and accepted for general audience viewing will be ineligible for show placement. Short-Take, its producers, and/or screening organization retain the right to disqualify any short film submission at their sole discretion. Short-Take! is under no obligation to broadcast any film submission. All film submissions, excepting those that have been deemed inappropriate and destroyed, will not be returned, and will be retained in perpetuity without compensation in the Filmed N Color, Inc. video library for placement and use on future programming of Short-Take! Decisions of the screening organization and producers on film content appropriateness are final. Any minors appearing in the film must have his or her legal parent or guardian signed authorization. Released Parties (as defined herein) are not responsible for any lost, stolen, illegible, damaged, delayed, misdirected, postage-due or undelivered entries or mail, or any entries or mail that are not received by Filmed N Color, Inc. By submitting your film to Short-Take! you hereby agree to release and hold harmless, Short-Take!, it's producers, screening organization, any affiliates, advertising and promotion agencies, community access stations, and/or any respective television, cable, digital, and/or network syndications, from any and all claims, liabilities, damages, losses, costs and expenses, including attorneys fees and cost, arising in whole or in part, directly or indirectly, from the submission, use of, and/or airing of your film project. You further agree to defend and hold harmless All Released Parties from and against any third party claims, liabilities, damages,losses, costs and expenses, including attorney fees and costs of any Released Party's use of the short film in accordance with the rights granted herein.

Released Parties shall not be responsible for any malfunction, failure or delay of any telephone or other communications network or computer system, equipment, software or program, or any combination thereof, including any injury or damage to your or another persons computer related to or resulting from the download or other activity in connection with your project submission. Short-Take shall not be obligated to use Filmmakers Film or any other works or materials based upon or derived from Filmmakers Film. Filmmaker hereby waives any claim for loss of publicity or opportunity to enhance Filmmakers reputation by reason of Short-Takes non-exhibition or presentation of Filmmakers Film. Further, you hereby consent to being contacted by the screening organization and producers via email regarding your submission, and other related topics and to producers use of the information contained in your submission materials in accordance with industry standard and customary Privacy Policies. This Agreement shall be binding upon both parties and your acceptance is signified by signing this Agreement in the space provided below and returning a duplicate copy of this Agreement that will constitute an agreement between yourself and Short-Take, its producers and directors. It is understood and agreed that this Agreement may be executed in counterparts, by manual or facsimile signature.
