Business Plan Competition 2009 General Rules & Regulations Please read all rules and regulations carefully: 1.

NAME OF COMPETITION IKRAM Business Plan Competition 2009 (‘Competition’).

NATURE OF COMPETITION In line with the Group’s Core Value Campaign, the Group wants to create a sense of ownership among the staff by getting them to contribute directly towards the Group’s businesses. As such, the Participant shall be required to develop and submit at least one (1) new and bankable1 business model and/or current business improvement proposal (‘Business Plan’) for due consideration of the appointed Panel Jury.

PERIOD OF COMPETITION The Competition shall run for a period of 6 months, from 1 June 2009 until 3 December 2009, inclusive (‘Competition Period’).

ELIGIBILITY 6.1

Competition is open to all staff within Kumpulan Ikram Sdn Bhd Group, Protasco Infra Sdn Bhd Group, Protasco Land Sdn Bhd Group, Protasco Trading Sdn Bhd Group and the associated and affiliate companies of the Group and all registered students of Kuala Lumpur Infrastructure University College, aged eighteen (18) years and above (‘Participant’).

Definition: Any project or proposal that has sufficient collateral, future cashflow, and high probability of success, to be acceptable to institutional lenders/prospective investors for financing

THE BUSINESS PLAN 7.1

Participation shall be in-group, consisting of a minimum one (1) member to a maximum eight (8) members. Members of the group can be a mix of the Group’s staff/registered students/non-staff, aged eighteen (18) years and above provided always that the majority members shall be the Group’s staff/students. Participant from the students shall include at least one (1) member from among the staff of the Group, acting as a member or advisor. Terms and conditions applicable to the Group’s staff/students shall also be applicable to the outsider/non-staff participant. Each B.E.S.T Group shall be required to submit and lead at least one(1) proposal. Each group shall identify its respective leader and spokesperson.

The Business Plan, in either English or Bahasa Malaysia, can be on new and bankable business model and/or current business improvement proposal on the prescribed Business Plan Format. Refer to the attached Business Plan and Financials Format, where applicable. The Business Plan, either on services or products, must be lawful under the laws of Malaysia.

COMPETITION TIMELINE 8.1

Announcement of the Shortlisted Participants

17th July – 23rd Oct 2009

Shortlisted Participants shall develop the Business Plan(s). Please adhere to the Business Plan Format as outlined in Section 9.

26th Oct – 5th Nov 2009

2nd level Screening The Panel Jury shall review and judge all submitted Business Plan and shortlist potential Business Plan for presentation

The Secretariat reserves the right to amend the Competition timeline by giving sufficient notice to the Participants.

BUSINESS PLAN FORMAT 9.1

All Business Plans submitted shall adhere to the following format: 9.1.1 Plans should be printed in 12-point font on white paper and singlespaced. Allow for 2.5cm margins on all four margins. Any graphics, tables or charts shall be electronically pasted. 9.1.2

All Business Plan are limited to 30 pages only, including appendices, exhibits and attachments. The business plan, inclusive of all appendices and attachments should not exceed 30 pages.

All submitted business plan are to be marked “Confidential.”

For reference purposes, a sample of a Business Plan and Financial Formats are attached (serves as guidelines only).

SELECTION CRITERIA 10.1

At 1st level Screening, all submissions shall be reviewed and judged according to the following criteria: i.

Quality of product(s), service(s) and/or solution(s)

Market opportunities and competition

Overall attractiveness of the business plan

At 2nd level Screening, all submissions shall be reviewed and judged according to the following criteria: i. ii.

Viability - Is the opportunity reasonable, fundable and supported by a sound execution strategy? Realism - Have the assumptions behind the plan been tested in the market to determine the need for the solution being proposed? Does the business plan allow for contingencies? Competitiveness - Have the competitors been identified? Can the business successfully resist competitive pressures? Team Maturity - Do the proposer understand the nature of the business they are proposing, and are their assumptions, projections, and solutions realistic? Team Experience - Does the applicant have a management team, or can it assemble one, that has the breadth and depth of experience required to make the plan a success? Team Abilities and Dedication - How has the team evidenced the tenacity required to launch and grow a business? How is the credibility of the individuals behind the business plan? Writing style – Is the proposal able to clarify the business plan and easy to understand by intelligent layman. Are there typos, misspellings, and grammatical errors in the submission?

The Panel Jury may disqualify any submission that violated the competition Rules & Regulations.

PRIZES & AWARDS 11.1 11.2

Certificate of participation shall be given to all Participants. Prizes and Awards shall be as follows: 11.2.1 If the Business Plan meets the selection criteria of the Panel Jury (‘Selected Proposal’), cash prizes of RM10,000.00, RM5,000.00 and RM3,000.00 respectively, will be given to the top three (3) winners (‘Selected Participant’). 11.2.2 Token of appreciation will be given to the top three (3) Business Plans in the event that the Panel Jury, at its sole discretion, decides that there is no winning Proposal. 11.2.3 Apart from the cash incentive, Selected Participants/members may be awarded and/or offered with/as: a) The CEOs, Heads or other designated positions in the business ventures as per the Business Plan. b) Be given the right to subscribe to the shares in the new business ventures as per the Business Plan. c) Be given a Ximax phone each.

PROPRIETORY RIGHTS 13.1

The Selected Participant and/or all or some of its members shall be bound by further terms and conditions as determined by the Organizer at its sole discretion. The Organizer reserves the right at anytime at its absolute discretion without prior notice, to substitute any of the Prizes or Awards with other items of similar value. The Organizer reserves the right to choose the specifications of the Prizes or Awards (where applicable). The Group reserves the right to implement any of the Business Plans with all or some of its members.

The Participant shall retain all proprietary rights in and to all of its intellectual property to the Business Plan provided hereunder and shall at all times remain the exclusive property of the Participant. The Participant shall be free to use and/or commercialize their respective Business Plan elsewhere without payment or consideration or notice. Notwithstanding the foregoing, the Organizer and Selected Participant shall jointly own and retain all proprietary rights in and to all of its intellectual property to the shortlisted Business Plans provided hereunder (including all modifications, updates and enhancements thereof or any other aspect thereto) and the shortlisted Participant shall be granted with exclusivity and the first right of refusal in the event that the Organizer wishes to implement the shortlisted Business Plans, either in part or in full.

MISCELLANEOUS 14.1

By entering or participating in the Competition, each and every Participant hereby fully and unconditionally agrees and accepts all the terms and conditions herein contained and agree that decisions of the Organizer, the Secretariat and Panel Jury regarding the Competition and all matters relating to or in connection thereto are final and binding and no queries, appeals or correspondences will be entertained.

Non-compliance by the Participant with any of the terms and conditions herein shall entitle Organizer to disqualify any entry and/or revoke any Prizes or Awards awarded. Organizer reserves the right to shorten, extend or end the Period of Competition at anytime prior to the expiry of the Competition Period without prior notice and reserves the right to vary, modify, delete or change any of the terms and conditions herein at anytime at its absolute discretion without prior notice. Organizer reserves the right to cancel, terminate or suspend the Competition with or without any prior notice or to shorten or extend any deadlines mentioned herein with notice. For the avoidance of doubt, cancellation, termination or suspension by the Organizer of this Competition or shortening or extension of any deadlines herein shall not entitle the Participant to any claim or compensation against the Organizer for any losses or damages suffered or incurred by the Participant as a direct or indirect result of the act of cancellation, termination, suspension, shortening or extension. Participation is at the Participant’s own risk. Participant shall not hold Organizer liable for any claims of loss or damage including without limitations, loss of income, profits or goodwill, direct or indirect, incidental, consequential, exemplary, punitive or special damages to any party including third parties howsoever arising whether in contract, tort, negligence or otherwise, in connection with the Competition, damage to property or personal injury or loss of life by the Participant, winners or any party under this Competition even if the Organizer has been advised of the possibility of such damages in advance, and all such damages are expressly excluded. These terms and conditions shall prevail over any provisions or representations contained in any brochure or other promotional materials advertised under this Competition.
