INTRODUCTION Sports, Entertainment and Politics are the main areas of interest prevailing in India. The Indian Youth with an enormous spending power spend their money in entertainment and sports. Imagine a situation, where in a Bangalore youth walks into PVR and throws Rs.500 for three hours of entertainment. Similarly, sports also have this type of welcome especially with the recent thumping inauguration of IPL. Cricket, once used to be a gentleman's game now receives thumping response from all age groups with the introduction of Twenty 20 format. In fact, T20 has become a major means of entertainment. This document is contains four parts: Part 1 is IPL Explained. This part deals with the Terms & Conditions of BCCI for selling there Franchise & Player’s. The concept is explained with the help of Auction theory. Part 2 The Collapse: This part begins with the reasons cited for the collapse & contains the analysis of one of major reason of collapse. It also contains the

Part 3 Team Players: This part contains the Statistics of the players & analysis of some of the players. It does not include all the players. Part 4 Corporate restructuring: As the name suggests it contains the details of team restructuring & Revenue structuring. The revenue part is not discussed in details. The aim of this Document is to “improve my own understanding” on the subject of Auctions, Corporate Restructuring & Corporate Strategy. In between I have used the dialogues of one of the greatest tragedy of Shakespeare play Macbeth.

IPL EXPLAINED IPL - The concept1 The Indian Premier League (IPL) was launched by the BCCI on September 14, 2007 amid a lot of media hype. Based on the lines of the English Premier League (EPL) and the National Basketball League (NBA), the IPL is apparently the brainchild of BCCI vice-president Lalit Modi. The idea was tossed up as far back as 1996 but was turned down by the Board which thought the concept would contradict its structure of domestic cricket. The League will have some of the best cricketers from around the world playing for eight teams, alongside Indian senior and under-19 cricketers. IPL, which now has a title sponsor in DLF, will see a total of 59 matches spanning over 44 days beginning April 18.
The people who matter The BCCI has formed an IPL council which will include former BCCI president IS Bindra, Vice presidents Rajiv Shukla, Chirayu Amin, Lalit Modi and Arun Jaitley who will be honorary members. Former cricketers Sunil Gavaskar, Ravi Shastri and Mansur Ali Khan Pataudi will be paid for their services to the Council. The Council will in its five year term run, operate and manage the League completely independent of the BCCI.

Note: The Auction Strategy will be discussed for Franchise Sale only because it created more hype than any other sale. Media rights were sold for a whopping US $1.026 Billion (Rs. 4104 Crore) to Sony-WSG. The Title Sponsorship 3was sold to Realty Major DLF for Rs.40 Crores per annum for a span of 5 Years. The bidder’s in the race were: • DLF Limited, • World Sports Group (WSG), which had bid on behalf of Hero Honda Motors (India) Ltd • Percept D'Mark and 21st Century Media.

7 | Page Corporate Restructuring The Franchise sale received much hype because it involved a clutch of high profile corporate, high net worth individuals, and several private equity funds., (Reliance, ADAG , GMR, UB Group) & Bollywood Stars ( Shah Rukh Khan, Preity Zinta ). The Seller (BCCI) had laid some conditions for buying a franchise, the conditions are: •
Reserve Price4: The minimum bid for each franchise is US $50 Million. At the time of submitting the tender form the bidder has to pay US $5 Million as guarantee amount. • The bidder can bid for all the 8 Franchise out of 12. They can own only one. • The Minimum stadium capacity of 25,000 along with floodlight facilities. Motivation of the seller (BCCI) is to maximize the revenue.
The Bidder’s The Bidder’s applied for the following franchises: Franchise Bidders Bangalore Vijay Mallya, Anil Ambani Chennai India Cements, Anil Ambani Delhi Mukesh Ambani, Shah Rukh Khan, DLF, fast-food bigge Nirula’s, Videocon & Anil Ambani Mumbai Mukesh Ambani, Anil Ambani, Shah Rukh Khan, ICICI Ventures, Sahara Hospitality & Future Group Kolkata Anil Ambani, Shah Rukh Khan Chandigarh Anil Ambani, Shah Rukh Khan, fast-food bigge Nirula’s, Videocon,Preit Zinta Jaipur Deutsche Bank, Anil Ambani, Shah Rukh Khan, Emerging Media Hyderabad Anil Ambani, GMR group & Deccan Chronicle The three eligible bidders who failed to win ownership rights to a franchise were Deutsche Bank, Anil Ambani's Emerald Telecom Services and construction major DLF. ICICI Ventures, Sahara Hospitality and the Future Group were disqualified from the process as their bids came in late.
Sealed-Bid First Price Auction Before discussing the details of the strategy for Vijay Mallya & UB group a few words on the auction type. Sealed-bid auction Definition: An auction in which the bids are submitted simultaneously, so that no one bidder known’s what the other bidders have bid is called a sealed –bid.

8 | Page Corporate Restructuring A sealed-bid format has two distinct parts--a bidding period in which participants submit their bids, and a resolution phase in which the bids are opened and the winner determined. Sealed bid-auctions have these characteristics: • Single round first price: The bidder who submits the highest price gets the item & pays the price he bids. • Single round second price: In a Second-price sealed bid auction, each bidder offers a price & the bidder who offers the highest price is the buyer; but the price the buyer pays is the second highest price bid. • Multiple rounds: Sealed bid auctions can also be conducted with multiple round.
Auction Strategies The auction strategy is a very complex process because it involves numerous variables. • Is a bidder is risk-averse or risk-neutral? • Is the auction is for one item or multiple items? • Does the bidder plans to resell the acquired object or use it for himself? • Does the bidder have any secret information about the object or the other bidder’s? All of these factors play an important role in framing the auction strategy. From a Seller’s Perspective In any auction a seller can influence results by revealing information about the object. So a seller's optimal strategy is to reveal information and to link the final price to outside indicators of value. This was done by IPL Chairman Lalit Modi on Jan 15th by revealing the Media rights. From a Bidder's Perspective A word on the Bidder(Vijay Mallay). • • • •
A Member of Parliament from Karnataka. Mallya the sultan of self-regard. He delights in being photographed surrounded by young, beautiful women or rich, rapidly ageing men and is happy to be called the Richard Branson of India or the ‘king of good times.’ He rarely loses any auction. He won the Sword of Tippu Sultan in London auction, F1 racing car.
After going through the above characteristics we can conclude that Vijay Mallay is a Risk-Averse. Since Vijay Mallay is risk-averse (meaning he absolutely requires the item being auctioned) tends to bid higher so that he will have a greater chance of victory. The auction is for single item, which is Bangalore franchise. The bidder acquired the item for his use.

Once the bidder gets to know the amount of Media rights (because it represents the Major part of the Franchise revenue) sold. He can alter his bid. As per the media reports, Vijay Mallay was the sole runner for Bangalore Franchise. The Media rights were sold at Rs.4000 Crore or US $1.026 billion. Minimum money we can expect from BCCI is Rs. 285 Crore or US $72 million or maximum of Rs.333 Crore or US $ 82 million. The other revenues includes Local revenues which will fetch him another Rs. 60 Crore or US $15 million for another ten years. These assumptions will hold well only if these 8 teams play for next 10 years. But IPL Chairman already told that he will include some more teams after 5 years of successful completion of IPL tournament. The overall revenue expected from the Central & local revenue will be around Rs.400 Crore to Rs. 450 Crore (i.e. US $100 million to US $112 million) for 10 years. The expenses should be less than Revenue to make profit. (Profit = Revenue > expenses) (Loss =Expense > Revenue) So the expenses should be three-fourth of the overall revenue (US $ 100 to $ 112 million). So the minimum bid to buy the franchise is US $ 75 Mn or US $ 84 Mn. But not more than US $ 90 Mn, if the bidder bids more than US $ 90 Mn the chances of making profit will be a herculean task. Vijay Mallay Calculated Franchise Fees based only on Revenues, Media rights i.e. Rs 4104 Crore*.09 = Rs 369.5 Crore & appreciated by 21 %( includes Local revenues) i.e. Rs 369.50*1.21=Rs 446.4(US $111.6 Mn). The major step missed while calculating the bid amount was not considering the expenses.
If he had considered the expenses (i.e. Franchise fees+ player’s cost’s + Admin+ event Mgmt+ Stadium) I.e. US $ 12 Mn (Franchise Fee) + 5(Player’s Cost) + 5(assuming Admin+ event Mgmt+ Stadium) = US $ 22 Mn/year. Player’s cost will be increasing every 3 years.

The Lessons to be learnt from Vijay Mallay is: 1. Homogeneous: As theoretical literature assumes the auction participants are homogeneous (risk neutral and symmetric--they use the same distribution function to estimate valuations). It assumes bidders all focus on maximizing profits and that only one item is being auctioned. 2. Estimate the Cost of your competitor: Paul Milgrom describes a strategy for contract bidding. "To make money in competitive bidding, you will need to mark up your bids twice: once to correct for the underestimation of costs on the projects you win and a second time to include a margin for profit. Don't let the presence of several competing bidders push you into making too aggressive a bid. The markup to adjust for underestimation will have to be larger the larger the number of your competitors and the more you respect the accuracy of their cost estimation; you may, however, want to make the profit markup smaller when there are more competitors.” 3. Do not use naive bidding strategy: The most important lessons to be learned from both the theory and the experiments are that the returns in bidding come from cost and information advantages, that naive bidding strategies can squander these advantages, and that bidders without some advantage have little hope of earning much profit, but could with a little bit of carelessness suffer large losses." 4. Irrational: Try to be as much rational & participate in the auction because to avoid the “Winner’s Curse”. To avoid Winner’s "We are not looking at curse try to bid lesser than your rivals. 5. Each player has an annual "base player fee"6. 2. Franchise should spend up to US $5 million on player’s auction. 3. For each player, the following information will be included: name, nationality, specialism, base player fee, and expected "percentage availability" for the 2008 DLF IPL season. 4. Within the sets, the order that players will be presented for auction will be determined by a random draw that will take place in the Auction room. 5. Bidders will raise a paddle to indicate a bid (only one official bidder per Franchise). 6. Each bid will represent the player fee per season to be paid by the Franchise to the player for each of the seasons 2008, 2009 and 2010, ignoring any periods of unavailability. Once made, no bid may be withdrawn. 7. If more than one Franchise is interested in a particular player, the DLF IPL may hold a further Auction to determine which Franchise will sign that player. 8. The player fees of any Icon players (at the date of publication of these rules, Tendulkar, Dravid, Ganguly, Yuvraj) – being 115% of the highest player fee in that Franchise’s squad – will count towards the maximum purse of $5m. 9. The contract with the player will be for a fixed term of three years. 10.The minimum "percentage availability" for any player included in the Auction will be 25%. 11.If a player is expected to be either completely unavailable or only available for less than four of the DLF IPL matches in 2008, 25% of the player fee bid for that player in the auction will count against the $5m purse. For example, the purchase for $400,000 of a player, who is expected to be completely unavailable in 2008, will cause a deduction of $100,000 from the Franchise’s overall $5m purse. 5

The item is sold to the highest bidder." 6 The base player fee will be the fee at which the bidding for that player starts.

The IPL will not be involved in this and it will be confined to the player concerned, the seller and the buyer (franchises). Bidding increments will be as follows: Bids up to $100,000 – increments of $5,000 Bids from $100,000 to $250,000 – increments of $10,000 Bids from $250,000 to $500,000 – increments of $25,000 Bids in excess of $500,000 – increments at the auctioneer’s discretion. English Strategy In a private-value English auction, a player's best strategy is to bid a small amount more than the previous high bid until he reaches his valuation and then stop. This is optimal because he always wants to buy an object if the price is less than its value to him, but he wants to pay the lowest possible price. An advantage to English auctions is that a bidder gains information. A player's strategy is his series of bids as a function of (1) his value, (2) his prior estimate of the other players' valuations, and (3) the past bids of other players. His bid can be updated as information changes. Vijay Mallay, Rahul Dravid & Charu Sharma participated in the player’s auction & selected the team members. Official bidder was Rahul Dravid.

"It was only a matter of time before Indian cricket went beyond the Duleep Trophy and Ranji Trophy. The auction has been an exciting process and all the franchisees got what they wanted. IPL is the best thing that has happened to Indian cricket. It offers youngsters the chance to make money and also to improve their skill sets by playing alongside international players," he said. Bangalore, the team Mallya owns, will be holding the opening ceremony in April. "I look forward to welcoming the teams, the BCCI and ICC. I would like to conclude by saying that while there is a business objective for our involvement in IPL there is also a sporting objective. We are also hoping to contribute to the development of youngsters in sport," Mallya said.

THE COLLAPSE Royal Challengers Bangalore7 Royal Challengers Bangalore (also referred to as RCB) is the team representing the city of Bangalore in the Indian Premier League, the inaugural Twenty20 cricket tournament to be held in India. The team is owned by the liquor magnate Vijay Mallya, the chairman of UB Group. Brijesh Patel is the CEO of the team and Rahul Dravid, the captain of the team is the Icon Player. Martin Crowe, the former New Zealand captain, is the CCO (Chief Cricketing Officer) of the management team. Vijay Mallya wanted to associate one of his top-selling liquor brands, either No. 1 McDowell's or Royal Challenge with the team. The latter was chosen, hence the name. The jersey colors of the team are red and golden yellow, the same as the Karnataka state flag, and the logo consists of the RC emblem with "Royal Challengers Bangalore" in standard format. 7

Analysis of Team Composition The official rules for the tournament are here. Some of the Team composition rules are: • Total squad strength of 16 players plus one physio and a coach. • No more than 8 foreign players in the squad and at most 4 in the playing XI. • A minimum of 4 local players must be included in each team. • No fewer than 4 players from the BCCI under-22 pool in each team. Normally Cricket playing team consists of eleven players (5 batsmen’s, 5blowers & a wicket keeper). 5(Batsmen’s) +5(Blowers) +1(Wk/Batsmen) =11 Playing Team Members. This is general format of the game. Applying the above format to the RCB team, it consists of: 5(All-rounder’s) +9(Batsman’s) +3(Wk/Batsman) +8(Bowlers) =25 Players. As per IPL format, a team should consist of 4 foreign players, 4 from catchment area8 & 4 below 22 years. i.e. 4(Foreign Players) +4(Catchment area) +4(Below 22 yrs) =IPL team. This is the minimum requirement for selecting the team. 8

Names of Famous players Under this selection process the Captain or Franchise owner will be choosing the players based on there names like Hayden, Gibbs who are famous internationally. In this process the players will not be scanned based on there performance i.e. batting, bowling & fielding averages. Vijay Mallay had actually thought of this concept of selecting team, but his Team Captain & CEO did not allow it to happen.
Criteria for selecting International Players: The below mentioned criteria are mine & it should be considered as a sign-post but not as a rule of thumb. 1. Check his National, County & local commitments. 2. Fitness. 3. Should have represented his National One-day & 20-20 team. 4. Should have single handedly won a match for his National team in One-day internationals & 20-20 match. 5. Age. 6. Should not hire a Pakistan & Bangladesh Player. Applying the above Criteria to the RCB team: Criteria 1: The RCB team messed up with this first condition. They hired players who have already committed to their National, County &local teams.

Chanderpaul & Ross Taylor left the team in the middle of the tournament for there National commitment. Criteria 2: Always make sure the hired guy is fit for the whole tournament. But RCB team missed this point. Ex: Nathan Bracken was having the injury before the auction took place. Criteria 3: The RCB team should have thought twice before hiring a player. Ex: Kallis represents his One-day National team but does not represent his 20-20 National team. Criteria 4: This Criterion was well followed by RCB team. They have selected the entire International player who has single handedly won for there national team. Criteria 5: Age criteria always play a crucial role in 20-20 cricket because this format of game is made for young blood. I think this criterion was overlooked by RCB team. Ex: Out of 9 players, 4 guys are below 25 yrs& 5 guys are above 30 yrs. Criteria 6: This criterion was misunderstood by RCB team. Ex: They hired Misbah (Pak) & Razzak (Ban) who are from Muslim Community. As per there religion they are not supposed to endorse liquor or consume liquor. Since the Franchisee owner is a Liquor Barron. Back home, Misbah & Razzak received bad publicity by joining RCB team.
Criteria for selecting Catchment area & Under-22 The below mentioned criteria are mine & it should be considered a sign-post but not as rule of thumb. 1. Should have played T20 cricket for the National team. 2. Age 3. Burning desire to make it into National team, if he is a Ranji player. Applying the above criteria to the RCB team: Criteria 1: The RCB has not understood the T20 format. The Icon player of the RCB team has not played T20 games. Ex: Dravid, Kumble, Chipli have not played the T20 format in there career.

Criteria 3: The Catchment area for the RCB team is Karnataka Ranji Team. Apart from Robin Uthappa, nobody has made it to the National team from the past 2 Years. This shows that there desire to play for the country.
Money ball Concept This concept is similar to derivatives market: • Identify successful approaches. • Figure out the critical components that feed into that success. • Buy them up. In more direct Cricket terms: 1. Identify what types of performance required from batsmen or blowers. 2. Fundamental Analysis Basically this concept is taken from the Stock Selection Criteria used in Finance field. Stock selection criteria is a strategy in which an analyst or investor uses a systematic form of analysis to determine if a particular stock constitutes a good investment which should be added to their portfolio. The objective of stock selection criteria is maximizing total return on investment (appreciation plus any dividends received) for the target holding period, subject to limiting risk to acceptable levels. Here in this context, the objective of using this concept is to maximizing total return on investment for the target holding period of three years. Some of the players picking approaches are given below: 1. Selection Components: Player (Stock) picking can be an extremely difficult and complex endeavor because there is no foolproof method for reliably forecasting a player’s (stock’s) future price movements or player’s performance. Rule of Thumb for Wicket-keeper Same as Batsman Rules of Thumb for All-Rounder There are three types of all-rounder’s batting all-rounder, bowling all-rounder &wkt-keeping all-rounder. All-rounder is someone who’s batting or bowling skills, considered alone, would be good enough to win them a place on the team. Jacques Kallis South Africa Current age 32 years 234 days Batting style Right-hand bat Bowling style Right-arm fast-medium Strength & Achievements: Hailed as the World's Top Cricketer of the Year 2007 by Wisden, Kallis is a talented right-handed batsman and an effective fast-medium bowler, being the only cricketer to score more than 9,000 runs, bag 200 wickets and pouch 100 catches in both Tests and ODIs. From October to December of 2007, he produced a remarkable streak of five centuries in 4 Tests. With 30 Test centuries to his credit, Kallis has established himself as one of the modern greats of the game. He was pivotal to South Africa winning the ICC Champions Trophy title in 1998 with two man-of-the-match and the player-of-the-series performances. In 2005, Kallis was a part of the World XI team that played an Asian XI in a benefit match for those affected by the tsunami of 2004. In the same year he was awarded the Sir Garfield Sobers Trophy for the ICC Player of the Year. Kallis currently holds a number of South African cricket records, including most ODI and Test runs, highest ODI and second highest Test batting average and most Test centuries.
