Dear Sir, We refer to your offer ref: LIFT/LN12759/HIVS/R/REV-0 Dated: 1 4 ' ~ arch 2007 for the above requirement of 5110s. elevators in the subject project and the subsequent discussions you had with us in connection with the same. By this letter, we are pleased to confirm placement of our order on you for the supply of complete materials for the elevator equipment subject to the following terms and conditions. These terms and conditions shall supersede all earlier correspondence and shall be final and binding. Terms And Conditions : 1. Scope of Supplv:

Design, manufacture and shipment upto Hyderabad ICD for complete materials for 05 (Five) nos. elevator of Mitsubishi brand for our "Solitaire" at Hyderabad, India.

Basis of Manufacture:

a.

The equipment supplied by you will be manufactured complying with Japan Industrial Standard codes, and as per brief technical specifications (Appendix - 1, Dated: 14" March 2007) attached. The finishes for the cabin interior and entrances at all floors as confirmed by us and signed off in the brochure by the architect and ETA MELCO.

b.

The equipment manufactured by Mitsubishi will be based on the shop drawings prepared by you, which shall be approved by us / our consultants, prior to commencement of manufacture.

c.

The manufacturing works of Mitsubishi elevators shall commence for the latest date of completion of the following activities: 1.Approval of all shop drawings and confirmations of specifications and finishes by us / our consultants. 2. Establishment of irrevocable and confirmed letters of credit by us and operable by you.

d.

We are agreeable to the fact that there shall be no changes to the specifications, finishes or shop drawings after this. It is also very clearly understood that we accept responsibilities / consequences for any revisions caused by us in technical specifications etc., whatsoever, and for those which have not been caused by yourselves.

3. Import Approvals & Related Licenses: All necessary licenses, which are required for importation of Mitsubishi elevator for this project will be arranged by us.

Price: a.

The lumpsum nett " cost, marine insurance, freight price" (CIF PRICE) shall be US$ 191,9501- (US Dollars One Ninety One Thousand Nine Hundred Fifty). Exclusive of all taxes, levies & import customs duty & clearing charges which shall be paid by us.

b.

This "CIF price" is towards design, manufacture, supply of materials upto Hyderabad ICD via Chennai Port.

Insurance: You shall obtain marine insurance (with extended inland transport cover) upto the project site.

Expenses: All expenses towards bank charges including Llc confirmation charges, etc., shall be paid by us.

7. Terms of Pavment: a. The "CIF price" amounting to US$ 191,9501- (US Dollars One Ninety One Thousand Nine Hundred Fifty) will be paid to you through an irrevocable and confirmed letter of credit established by us on your bankers [ HSBC Bank Middle East, Deira, Dubai (United Arab Emirates)]. b. The full amount from the letter of credit shall be payable to you, at sight, on presentation by you the various shipping documents, pro-rata basis, as stipulated in the letter of credit. 8. Deliverv Period: "Mitsubishi" shall manufacture and ship the elevator materials from their ex-works Thailand & 1or Japan, on your behalf to reach site as per the dates mentioned in Annexure - A. 9. Firm Price: The above price shall have to remain firm for the complete period of contract. 10. Force Maieure Conditions :

You shall not be liable for any loss, damage, or delays due to any cause beyond your reasonable control, including but not limited to embargoes acts of government, strikes (not due to you), lockouts (not due to you), fire accident, explosion, theft, earthquake, floods, and any other acts of God, civil commotion, war, malicious mischief, acts of enemies and any other conditions prevailing under international norms of practice. Without in any way limiting the operation of the foregoing provisions it is understood that you shall also not be liable in any event for indirect or consequential loss or damages caused to us.

11. Guarantee: The Mitsubishi elevator supplied by you shall be guaranteed for a period of 18 (eighteen) months from the date of shipment from your principal's overseas factories located at Thailand & / or Japan. 12. Arbitration: In the event of any dispute between us, we shall nominate 1 (one) arbitrator (each with an umpire), whose nomination shall be mutually accepted to both of us. The arbitration proceedings shall be governed by the provisions of the Indian Arbitration and conciliation Act 1996 or any re-enactments or statutory modifications thereof for the time being in force. The venue of the arbitration shall be at Hyderabad - India only. This purchase order shall be subject to the jurisdiction of the appropriate courts at Hyderabad only. 13. Enclosures:
