Business proposal to establish the EArbitration Center, (India) at your premises on Profit sharing basis: Introduction of Product: Earbitration.net and eadrline.com are the two online dispute resolution portals based in India and US (global portal). Our two sister companies have been running these portals. Miftah, has jointly developed and pioneered the Low cost ecourt room technology. Further to facilitate Low cost and affordable but high tech arbitration center, it is proposed to put a combination of centres all over India as to cuts costs and travel for conventional arbitration. Our aim through this scheme is to resolve disputes even of smaller denominations to facilitate speedier adjudication of business and commercial contracts through this Arbitration Centre. Why Permanent Arbitration Centre: Today approximately 10000 quality arbitrations happen daily in India and then there are arbitrations (works contracts, MTNL, BSNL, etc) which are happening on same number scale or even higher, but of lower values around 5 to 50 lacs. In construction Industry alone due to lack of sophisticated use of technology to facilitate arbitration, about 3500 Crores are stuck in disputes. Any quality arbitration has minimum costs of Rs.5 lacs and Arbitration Centres across India will cut it to more than halve at the current rates. What this centre offers is admix of technology and web-based processes, settings: design to requirement and need of arbitration, ambience and process of eservice of documents to cut investments, save heavy costs, travel, time and man hours, professional support and Arbitrators. These centres will connect METRO GRID and also International Grid for the first time of Arbitration Centres. Profit Centre for Hosting Institution: These Arbitration centres will work as the profit centre for the host institution. As host institution OUR criteria is to look for established brands with hosting facilities which meet the Business standards of décor, appearance and approach along with other peripherals like catering, house keeping and maintenance staff.

At Profit Center the designing is done by our team and installation of all equipment will be undertaken by the software and hardware engineers on the unique Court room design.(visit www.ecourttech.com) Hosting Institution Contribution: Hosting Institution provides a suitably furnished (to specs provided) space having a minimum dimensions of 30 x 60 feet and small office room for two people. A larger space is always welcome. This will be a permanent room with permanent settings and features and will be designed by MIFTAH. This Centre can be otherwise used for video conferencing facility only for Business meets or conference broadcasts as well. (Hosting and Installation initial investment will be Rs.15-20 Lacs (depending on features) and 20% of this amount for yearly up-gradation on given technological setup + hardware AMC costs). Hosting Institution can use for other permitted usages only if the Arbitration center has not been booked for the facility use agreed for. Hosting Institution also provides resources for hardware installation and leased line or broad band at its own cost according to specs provided. (Rs.5000 or 3500 p.m. depending on option and service provider as on April, 2009) Adequate publicity costs (Rs.20000 p.a.) Contribution of MIFTAH:  Installation and designing  Maintenance  Administrative support and publicity  Providing of Man power to run these Profit centers  Providing Arbitrators etc if desired PROFIT SHARING PATTERN: Profits will be shared after deducting costs on equal sharing basis. Costs will be covering administrative costs, fixed capital costs, electricity and maintenance of equipment and premises. EASY STEPS GUIDE: Once this letter of offer is accepted by hosting institution, Agreement will be signed for minimum of two years or more.

This Agreement will broadly contain following issues: Minimum amount of revenue generation; proper power supply back up; upkeep of the Arbitration Center, costs formula and sharing of profits formula, manpower training and other listed issues here included otherwise in this proposal. One and half month for setup ,testing and installation. Brochure will be printed at the cost of hosting institution Publication of Arbitration center details on host institution web site and link to Earbitration.net and for different online facilities. Publicity and sales will be joint responsibility. Host institution will make available its set of staff for training to handle equipment, whenever so desired. Security and related arrangements will be provided when MASS Arbitration is required. FEES Structure ; Administrative FEES, per usage fees based on hourly system and the Other portal fees. The amount will be available on request and costs formula will be dependant on few variables like size of center, facilities available etc. Taxes will be shareable in proportion of profits and TDS will be deducted. Taxes directly leviable on services provided by Arbitration Center will be shared only but not other taxes leviable on Hosting institutions for such facilities. ------------------------------------------------------------------------------------------------Note 1: The investment estimations are valid for three months from the month of issue of proposal and is subject to revision thereafter. Note 2: In case of similar facility is existing then if find suitable to specs for Arbitration Center they can be put to use with modifications and improvisation costs to hosting institutions.
