Resignation of Director

Effective February 23, 2009, the registrant, Preferred Voice, Inc. a Delaware corporation (the “Company”) accepted the resignation of Todd Parker as a member of the Company’s Board of Directors. Mr. Parker indicated that he was resigning to pursue other interests and that his resignation was not the result of any disagreement with the company or any of its officers, directors or other members of its Board. At this time, the Company does not contemplate filling the vacancy.
