CYCLING CLUB CONSTITUTION AND BY-LAWS ARTICLE I- NATURE NAME AND ADDRESS This organization shall be a sporting club and shall be known as (NAME

ARTICLE II-OBJECTIVES

As a basic unit of the Integrated Cycling Federation of the Philippines, the objectives of this club shall be those prescribed by the Constitution and By-Laws of the Integrated Cycling Federation of the Philippines.

ARTICLE III – MEMBERSHIP

Section 1. Each club shall have no less than fifteen (15) members and no maximum limit to the number. The General Membership (GM) of the club shall be comprised of all its members.

Section 2. Any person, regardless of sex, age nationality, or creed is eligible for membership in this club, provided he is not a member of any subversive organization, and provided further that no less than 60 percent of the members of the club are Filipino Citizens.

Section 3. The organizers of the club shall be considered ipso facto character members. Thereafter, application for membership shall require the approval of the majority of all members in good standing.

Section 4. Membership may be terminated by death, resignation, forfeiture or expulsion.

Section 5. Any member who fails to register for membership of the club during the registration period after he/she has been admitted to membership and who fails to pay his annual dues within six months shall automatically forfeit his membership from date of registration. He shall be readmitted only after applying as a new member.

Section 6. Any member who habitually fails to comply with his/her duties and obligations, guilty of disloyalty, misconduct and poor sportsmanship, may be declared by a majority vote of the members in good standing as having forfeited his/her membership and may not be allowed to enter any other club within one year from such forfeiture.

ARTICLE IV – BOARD OF TRUSTEES AD OFFICERS

Section 1. The Club shall be governed by a Board of Trustees which shall be composed of nine (9) members who, shall elect from among themselves the following officers: President, Vice President, Secretary, Treasurer, Auditor, Public Relation Officer and three (3) Trustees. Their duties are the following:

a) The President shall call and preside overall meetings of the club, initiate and manage the activities of the club, represent the club and perform all the duties, expressed or implied, ordinarily devolving on the chief executive officer of similar organizations. b) In the presence or disability of the President, the Vice President shall act as the President, and discharge all his duties until such time as the former disability is terminated of a new President is elected. c) The Secretary shall take the minutes of all the club meetings, take care of the correspondence of the club and be the custodian of its papers. All concerns pertain to membership shall also under the responsibility of his/her officer. d) The Treasurer shall collect the fees and dues of the members, hold custody of the funds and property of the club. He/She shall keep the book of accounts and an inventory of the properties which shall be open for inspection to all members, make disbursement in accordance with the decisions of the club through the Board and perform such other duties as may pertain to his/her office. e) The Auditor shall audit periodically the account of the club and shall render a report of his/her auditing in the Board meeting. f)

The Public Relation Officer shall take charge off all the publicity ad promotional activities of the club.

Section 2. The Officers of the club shall be elected for a term of one year. The election shall be held at the time, date and place as the majority of the members may decide in General Membership meeting.

ARTICLE V – THE PRIVILEGES AND DUTIES OF MEMBERS

Section 1. Every member in good standing shall be entitled to one vote in any election to be held or in any deliberation in either annual or special General Membership meeting of the club. He/She shall be entitled to all rights and privileges accruing to every member.

Section 2. it shall be his/her duty to attend all meetings and to participate in all activities and projects of the club that require his/her attendance and presence.

Section 3. It shall be his/her obligation to pay the entrance fee and monthly dues, as well as all other financial obligations approved by the General Membership.

ARTICLE VI – CLUB FINANCES

Section 1. The funds of the club shall come from (a) the entrance fee and monthly dues of the members; (b) special contribution approved by the General Membership; and (c) donations solicited by the club, benefits and other money- raising activities.

Section 2. The finances of the club shall be governed by the following rules:

a) Amounts of entrance fee and monthly dues shall be determined by the majority members of club present in General Membership; b) No special contribution shall be levied without the approval of the majority of the members present in the General Membership; c) The Treasurer shall make periodic accounting of the funds of the club. The book shall be open for inspection by any members who desires to do so. He/She shall make a consolidated financial report to the annual General Membership meeting. d) No funds shall be expended without appropriation approved by the majority of the members General Membership. ARTICLE VII – AFFILIATION WITH CHAPTERS

Section 1. The club shall affiliate with provincial or city chapter legitimately organized and recognized by the Integrated Cycling Federation of the Philippines, in the territory or city where it is domiciled.

Section 2. Aside from the regular General Membership meetings, special meetings may be called by the President or by written demand of at least five (5) members of the club to discuss special matters that may be brought up as urgent.

Section 3. The Robert’s Rules of Order shall govern both regular and special General Membership meeting of the club.

ARTICLE VIII – EFFECTIVITY AND DISSOLUTION

Section 1. This Constitution and By-laws shall take effect upon approval of the General Membership of the club and recognition by the Integrated Cycling Federation of the Philippines.

Section 2. This club may be dissolved by an affirmative vote of 51% of the members during regular or special General Membership meeting.
