MEMORANDUM OF UNDERSTANDING EWB - Johns Hopkins University (hereinafter “EWB-JHU”)is a non-profit humanitarian organization established to partner with developing communities worldwide in order to improve their quality of life. The mission of EWB-JHU involves the implementation of sustainable engineering projects, while involving and training internationally responsible engineers and engineering students. Santa Rosa de Ayora, a community located north of Cayambe, Ecuador (hereinafter “Santa Rosa”) and EWBJHU have agreed to partner for an engineering project involving construction of a new daycare facility. Both parties have agreed to enter into this Memorandum of Understanding (hereinafter “MOU”). The items below detail the responsibilities of each partner. In view of the above, the Parties have agreed as follows: - to work co-operatively for the development and construction of a daycare facility for the Santa Rosa community - to maintain communication through phone, E-mail, and site visits and provide updates on the status of the project - to improve the educational facilities of Santa Rosa

to maintain contact and support after construction of the daycare facility is completed
More specifically the EWB-JHU has agreed to: - do fundraising to reach the widest array of funding sources so as to fund all aspects of the project (construction costs of a retention structure and the first floor, transportation of materials, educational and other utilities) - organize communication between professional engineering partners and the rest of the project team - ensure that construction will follow the International Building Code (IBC) as well as Ecuador Building codes - provide student assistance with construction of the project - provide a written report and oral presentation to Santa Rosa about the effectiveness of the project after its completion - provide technical assistance after the completion of the project Santa Rosa has agreed to: - form a community committee of residents to oversee development of the project - appoint a pinpoint liaison within the committee to serve as a bridge between Santa Rosa and EWB-JHU -provide information regarding funding sources for the nursery’s sustainability - search for funding opportunities from local and national sources - possibly provide personal funding - provide sufficient labor for the implementation and completion of the project

This MOU is agreed to on ### of May and will remain in effect for two years when it will be subject to review and reapproval.
