Consult-Build-Manage, or CBM, is a proven methodology that begins with a complete network and applications assessment, and ends with a successful implementation of optimized IP solutions. Using sophisticated tools for analysis of costs, network design, application and security requirements, our team of business process professionals and engineers provides a phased approach to building the services and support required by the multinational customer. PHASE I - DESIGN Our engagement with any customer begins with the Design/Consult process. Before proper recommendations can be made, HCL's Business Process professionals will analyze your current environment. Our standard Consult engagement, called the Rapid Network Assessment, is a five-step process that results in a specific action plan.

1. ON-SITE ANALYSIS - An expert team including network/security architect(s), account manager and program manager review your existing network and requirements from a financial and technical perspective. 2. FINALIZE REQUIREMENTS – The team partners with you to determine current and future network, application and business requirements. This includes a detailed review of network topology, performance statistics, application performance requirements and security. 3. SOLUTION DEVELOPMENT - We tailor our services to optimally meet your requirements. We then deliver the plan for architecture and service level agreements, while maintaining our independent, vendor-neutral philosophy of "best fit for the need." 4. BUSINESS CASE DEVELOPMENT - We produce and present ROI/TCO analysis and business cases for implementing the new solution. 5. DELIVER IMPLEMENTATION PLAN - We propose an integration plan that clearly defines time and cost savings, all services, and roles and responsibilities. This plan also documents the assessment and proposed design. PHASE II – DEPLOY The deploy process is a direct result of the work done in the Consult process. After customer approval of the design and implementation plan rendered in the Rapid Network Assessment or other consulting engagement, HCL project managers build the services in a phased and methodical manner. During deploy / build phase, there is constant consultation with the customer, the CPE and access providers, software providers, and all relevant personnel.

Network Deliverables

Network Availability Availability: The target availability objective for the HCL Infinet network is 99.5% over a period of one month (excluding unavailability due to scheduled maintenance, unfavorable atmospheric conditions, interference or other unfavorable transmission conditions). The availability figure applies to HCL Infinet controlled routers and IP backbone facilities. Latency Objective: Time taken for a round trip on network shall not exceed 120msec measured over a period of 1 week. These commitments are assured for 99% of the Network Availability Time. Packet Delivery Objective: Whole Network Packet Delivery Assurance is 99.% measured over a monthly period. Review Mechanism The Service Level Agreement shall be reviewed one to one on a quarterly basis . the report would be mailed to you every month . SERVICE LEVEL REMEDY SCOPE Should the Network availability fall below the specified levels, COMPANY shall receive a Service Extension for the next quarter as specified below:

Exclusions 1. The Service Availability Guarantee shall exclude delay, unavailability due to: 2. Inability of the Service Provider to access the COMPANY premises or Third Party Premises which is not a result of SP’s negligence or default. 3. Delays caused by COMPANY or Third party 4. Scheduled Maintenance 5. Any act or omission by the COMPANY its agents or contractors including failure to comply with and observe HCL Infinet procedures or service guides. 6. Failure of any Hardware 7. Force Majeure and Regulatory Events.

Network Management: Network Management is defined as the monitoring of all network elements such as routers and links for any fault & performance related issue. There will be defined period for auto reporting of monitored parameters & instantaneous alert for any issue with network elements. The following parameters can be monitored in the Network Management Services. The mentioned parameters just need to be supported by the devices to be polled. Reports: 1) AT A Glance Report: The report consists of various performance parameters like Availability, Bandwidth Utilization, errors, Latency etc in a single page to give an IT admin a picture of a link's performance. 2) Trend Reports: These reports plotted on a performance statistic define the trend of the plotted performance parameter for the selected time duration. 3) What if Reports: These reports cater to the basic need of an IT admin i.e. Capacity Planning. IT Administrator's can upgrade / downgrade bandwidth using the tool. The tool calculates and predicts the data using the past recorded data for that link. 4) Situations to Watch: These reports are basically predictive analysis on a links performance based on the past recorded data for that link. 5) TOP N Reports: This report gives the IT admin an option to see top n (any variable like 1, 2, 10, 20) links sorted on a performance parameter. Eg: TOP 10 Most Utilized Links.

6) Custom Reporting: In addition to these, customer can visit the portal for any specific performance related reports for a specific duration.

TERMS & CONDITIONS (Services) The terms of payment for the assignment after acceptance of our offer are as follows: 1.) Validity The Validity of this offer is 7 days from the date of submission of this offer. 2.) Prices All prices are in Indian Rupees. 3.) Taxes

Prices are exclusive of Service Tax All Internet Bandwidth, VPN Services and Professional Services will be applicable for charges 6% extra. This will go as revenue share to DOT (Indian Government) The charge during the term of this contract becomes subject to the addition of other taxes, levies or other similar payments, the value of which shall be notified to the customer by HCL InfiNet in accordance with the applicable laws. 4.) 5.) Services

One time charges on installation . Recurring charges will be paid quarterly in advance 6.) Contract Period The minimum contract period is 3 year. 7.) Delivery Period The installation period is 4 to 6 weeks 7.) Order Placement Order for Internet Bandwidth and other Services is to be placed on HCL Infinet Ltd. (Internet & Networking Services Division), E-4, 5 & 6, Sector - 11, Noida - 201301, U.P, India HCL will have the option of billing the same at any locations of its office.
