BilLING Billing is made in advance of services rendered and is due and payable fifteen (15 ) days after receipt of invoice. Late payments shall at Select Patrol's option bear interest at the rate of ten percent (10%) per annum, which amount will be added to the next bill. TERMINATION This service agreement shall automatically renewfor successive one month periods unless either party provides 30 day written notice to the other of their desire to terminate this contract. Select Patrol reserves the right to terminate this agreement at any timeon written notice on the happening of one of the following events: Client's premises are destroyed by fire or other catastrophe; or are so damaged that it is impractical tocontinble service; Client does not permit Select Patrol guards to carry out their agreed upon duties; Duly appointed government agencies prohibit Select Patrol from fulfilling its contractual responsibilities. LIMITATION OF LIABILITY It is understood that Select Patrol is not an insurer and the rates being paid are for a security and loss preventionservice designedto diminish certain risks of loss which are not related in anyway to the value of the personal or commercial property protected. All amounts'charged by Select Patrol are insufficient to guarantee, implied or otherwise, that no loss will.ocGur.Under no circumstances wiIISelect Patrol automatically be responsible for, or pay for theft or damage to the client's property. Select patrol must be notified within twenty-four (24) hours in the event of theft or damage to client's property. RESPONSE

Inthe event that guards of Select Patrol discover any unauthorized or illegal activity, dangerous condition or other hazard; they will attempt to secure the services of duly authorized police, fire or other government agency. If they are unable to do so, and the guard has the ability to do so, he/she will attempt to apprehend security or safety violators, control disturbances, put out fires, or provide such assistance as the Select Patrol guard can provide. ARRESTS Client authorizes Select Patrol to arrest any person or persons engaged in criminal activities

person or persons until their care, custody and control can be transferred to a duly authorized law enforcement officer. Client agrees to indemnify and hold Select Patrol and its employees harmless against all liability in connection with or as a result of such arrest or detention.
