DEED OF ASSIGNMENT OF SHARES

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment is made, and entered this _____ day of ________, in _____________, Metro Manila, Philippines, by and between:

EDWIN ALDRIN DETERA, of legal age, Filipino, married, with residence address at _________________________, hereinafter referred to as the ASSIGNOR;

And

AERWIN CARLO ABESAMIS, of legal age, Filipino, single, with residence address at No. 50 Exodus St. Sto. Nino Phase 3-D Barangay Perez, Meycauayan City, Bulacan, hereinafter referred to as the ASSIGNEE.

WITNESSETH THAT:

WHEREAS, the ASSIGNOR is the owner of Ten Thousand Pesos (P 10,000.00) capital contribution invested to AFP Health Service Command Cooperative;

NOW, THEREFORE, the parties hereby agree as follows:

1. The ASSIGNOR hereby assigns, transfers, and conveys to the ASSIGNEE all his rights, claims, and interests, including all obligations

attached to his capital contribution invested to AFP Health Service Command Cooperative;

2. The ASSIGNEE is willing to accept all of the capital contribution invested by the ASSIGNOR by way of this instrument; 3. In the event the AFP Health Service Command Cooperative distribute dividends to its members, the ASSIGNOR shall deliver to the ASSIGNEE at least fifty percent (50%) of the amount of the dividend; 4. The ASSIGNOR undertakes to deliver the said dividends to the ASSIGNEE by way of cash on delivery, bank deposit or money transfer; 5. Any and all expenses incidental to the conveyance and registration of the transfer from the name of the ASSIGNOR to the name of the ASSIGNEE, such as documentary stamp tax, transfer fees, registration expenses and the like shall be the sole and exclusive account of the ASSIGNEE. IN WITNESS WHEREOF, the parties have hereunto signed this DEED OF ASSIGNMENT on the date and place above written.
