DEED OF AGRE EME NT

This Deed of Agreement stands as a legally enforceable bond between Mr. Joe Wada of the United Kingdom herein under referred to as the Assignor and Mr.,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,,, herein under referred to as the Assignee and made under partnership agreement concerning the collection of a said lodgment of US$10,750,000.00 lodged and cleared for transfer under the custody of Wellforth Bank of the United Kingdom. The Terms and Conditions of said Agreement is given below That the Assignor agrees to settle ALL financial expenses concerning legal entries that would see to the release of the funds US$10,750,000.00 presumably belonging to the Assignee. The Assignee pledges to entertain all cost UPON approval of release of said funds UNDER the sole details of the Assignee as beneficiary. That the Assignee pledges to hold in trust the released funds (US$10,750,000.00) until both parties physically meet for the sharing of the funds in the ratio of 60% for the Assignor,35% for the Assignee and 5% left under contingency status to be used to settle as deducted concerning all expenses incurred in the bid to effecting the release of the funds as confirmed the any account solely controlled by the Assignee Both parties furthermore agree to the Terms and Conditions of this Agreement which is made this 4th Day of January in the year 2006. ………………………………………..
