TERMS AND CONDITIONS OF TRADE
shall be permitted to enter the premises to repossess the goods.
1. General All orders are subject to these terms and conditions which may only be varied by agreement with the Publisher. These terms and conditions override all conditions stipulated by the Customer and apply to all orders accepted on the Customer’s own order form.
2. Carriage (a) Goods will be delivered to the Customer’s premises in UK and Eire by the carrier chosen by the Publisher. Goods will be delivered to overseas Customers by the carrier specified by the Customer unless otherwise agreed. Carriage will be at the Customer’s expense. (b) Small orders may be subject to a carriage surcharge.
3. Risk and Title (a) Where sales are carriagepaid to the UK and Eire the risk of loss or damage to the goods shall pass to the Customer when the carrier delivers the goods to the Customer. (b) In the case of overseas sales, the risk shall pass to the Customer when goods are delivered to the Customer’s specified shipper. (c) Title in the goods shall not pass to the Customer until payment is made in full. Once payment has become due, the Publisher’s representatives shall be permitted to enter the premises to repossess the goods. Should the Customer go into receivership, become bankrupt, execute an assignment for the benefit of creditors or enter into voluntary or compulsory liquidation, representatives of the Publisher
4. Shortages and Damage (a) The Customer shall inspect the goods within 14 days of delivery and shall give written notification to the Publisher of any faults or shortages. (b) The Publisher will replace such goods as are agreed to be faulty and will forward any books missing from the delivery, where such books are in stock. (c) If replacement cannot be made from stock, a credit note for the invoiced value of such stock shall be raised.
5. Payment and Credit Terms (a) Goods are supplied subject to the credit terms and credit limit agreed between the Customer and the Publisher in force at the date of invoice. The Publisher reserves the right to exercise complete discretion in respect of credit facilities which may be withdrawn without notice. (b) Payment shall be in cash according to terms agreed and in the currency agreed and stipulated on the invoice. Non-payment of accounts or exceeding the credit limit shall entitle the Publisher to stop all deliveries and to terminate any contract or commitment in respect of undelivered goods. (c) Costs incurred by the Publisher in recovery of the Customer’s debt shall be payable by the Customer. (d) Customers may pay by credit or debit card. (e) New Customers shall pay on a proforma basis until credit references have been established.
6. Proformas All proformas are subject to the
order being accepted and to the availability of the goods. Proformas shall lapse 30 days after issue for the UK and Eire and 60 days after issue for overseas Customers.
7. Returns (a) Must be in mint condition and suitable for resale. (b) Must be authorised in advance by the Publisher. (c) No out-of-print titles may be returned. (d) May not be made within 3 months or after 12 months of receipt by the Customer. (e) Are subject to a handling charge of £3 to be deducted from the credit note raised. (f) Single copy returns will not be accepted. (g) Must be returned within one month of authorisation or they will not be accepted. (h) Should be made to: Booksource 50 Cambuslang Road Cambuslang Glasgow G32 8NB; or to NMS direct (if a direct order).
8. Libel The Publisher reserves the right to withdraw from Customers any book which is the subject of a libel action or any other legal debate. The Publisher disclaims all responsibility for continuing sale of any such book.
9. Exclusions If the Publisher does not insist upon the strict observation of these terms and conditions on any occasion, this should not be deemed to be a waiver of these terms and conditions.
10. Disputes These terms and conditions shall be governed in accordance with the laws of Scotland and any dispute arising shall be dealt with by the courts in Scotland.
