We are pleased to offer you employment with Society For Integrated Development (SID) on the following terms and conditions: Location : (Place)However, you may be required to travel for work of SID during the course of your employment. Responsibility : You will be employed in the position of (Designation) Your responsibilities would include, amongst other things, (Responsibilities). The specific nature of your responsibilities will be discussed with you at the time of your joining. Your responsibilities could change from time to time, determined by the needs of the work or project SID is involved with. Compensation

: Your annual cost to NGO compensation will be INR (amount)

Annual Leave : You will be entitled to 20 days annual leave per annum. And can’t take leave more than 5 days at a stretch. Probation : Your appointment is subject to the satisfactory completion of a probationary period of 2 months from the commencement date. Termination : During the first month of probation, your employment may be terminated by either party with immediate effect. During the remainder of the probationary period, your employment may be terminated by either party by not less than fourteen days notice in writing or until completion of transition at minimum. Thereafter, one month notice in writing is required from either party. However, if the NGO terminates your employment for cause, no notice will be given. Non performance will lead towards immediate termination. With regard to references in this letter to termination for cause, ‘cause’ shall mean (a) your material breach of your obligations under any written agreement between you and the NGO; (b) any representation or warranty made by you in connection with the offer of employment contemplated hereby having been untrue or incorrect in any material respect; (c) your willful and continued failure or refusal satisfactorily to perform any duties reasonably required in the course of your employment (other than a failure resulting from a disability) or your violation of any material NGO policy, after written notification by the NGO of such failure, refusal or violation and failure to correct such failure, refusal or violation within 10 working days of such notification; (d) your commission of any crime; (e) your material breach of any securities laws or regulations applicable to the NGO or any of its affiliates; (f) your perpetration of a dishonest act or common law fraud against any of the NGO (including its affiliates), its customers or its clients; or (g) the willful engaging by you in misconduct, which is materially injurious to the NGO or any of its affiliates. Non Solicitation : During the term of your employment with the NGO or after its termination, you will be prohibited from attempting directly or indirectly to solicit (a) any beneficiary of project or funding agencies of SID or any of its affiliates to transfer its work from the NGO

or any of its affiliates to any other person or entity or (b) any employee of the NGO or any of its affiliates or any consultant or independent worker at the NGO or any of its affiliates to leave the employ or service of the NGO or any of its affiliates to join or work at another entity. For this purpose, termination of employment occurs after expiration of any period of notice given or required to be given prior to resignation or a termination of employment by the NGO. Background and Other checks : By accepting this offer of employment, you represent and agree that: (a) Except as disclosed to the NGO, you have no criminal record and there are no civil or criminal proceedings outstanding against you. (b) Except as disclosed to the NGO, you have not been fined, censured or disciplined by any govt. and non govt. funding agencies (c) You are free to enter into this letter agreement and to take up employment with the NGO on the Commencement Date and that you are not subject to any agreement, arrangement or restriction affecting your right to compete with any person or to solicit clients or employees of any person or in any way restricting you from performing the obligations referred to in this letter agreement. The NGO has the right to terminate your employment without notice if it subsequently discovers that any of the above representations was untrue as at the date on which you counter-sign this letter. In addition, by accepting this offer, you give your irrevocable consent to the NGO (or any person acting on behalf of the NGO) conducting such checks and investigations as the NGO in its sole and absolute discretion deems necessary in order (i) to verify the matters covered by the representations set out above; and (ii) to determine your suitability for employment with the NGO. You may also be requested to provide (and you shall provide) references from previous employers and any additional information, which may only be obtained by you in order for the NGO to verify the matters as to which you make the above representations. This offer of employment is conditional on the NGO receiving and being satisfied with, such references and additional information. Other conditions : You will perform the duties and accept such responsibilities as may from time to time be assigned to you by the NGO to the utmost of your ability, to promote and advance the interests of the NGO. You will obey and comply with all rules and regulations, procedural practices and arrangements of the NGO in accordance with the NGO’s Policies as they may be amended from time to time. Employee policies stipulate all other terms and conditions of your employment not covered in this letter. The NGO reserves the right periodically to vary and change the benefits listed therein and herein. Such variations and changes will be conveyed to you in writing, subject to the NGO making transitional arrangements, if necessary. This letter and such employee policies contain the whole agreement between you and the NGO relating to your employment. Governing law : These terms and conditions and your employment by the NGO shall be governed by and construed in accordance with the laws of India. Please confirm your acceptance of the above terms and conditions by signing and returning the duplicate of this letter of offer.
