The reputed and experienced Management Team of Apollo Pipes Limited is led by young, energetic and dynamic leader, Mr. Sameer Gupta. With more than 3 decades of experience in the Indian Pipe Market, we have witnessed the strong fundamentals for growth in the pipe industry in India. APL has witnessed higher growth to best quality management practices and supplemented with increase in sales due to best quality management duly supplemented with serving the customers with utmost sincerity. The company started manufacturing U-PVC Pipes in the year 2000, with a capacity of 3600 MT per annum. Since then, the company has undergone massive manufacturing and distribution expansion 2 400 MT per annum of CPVC Pipes and a wide range of other high-end related products. Altogether, the company has 19 Extrusion lines with a capacity of consuming 60,000 tons polymers annually APL has plants located at Dadri and Sikanderabad in Uttar Pradesh. We have the largest manufacturing unit at a single location under one roof in North India.The plants are equipped with the state-of-the-art infrastructure and testing

equipment’s with 100% power backup. The plants uses flexible manufacturing techniques, greener technologies and modern machinery. The workers perform under highest safety and regulatory standards to produce world class products and now has annual manufacturing capability of approx. 5000 MT of uuPVC pipes 4000 MT of HDPE Pipes, 40000 MT of fittings to supplement piping system. Today we have the widest range of Products for various sectors like agriculture, irrigation, building and construction industry, telecom industry and micro irrigation. On the other hand, every year we are ambitious plan to invest 20-25 crores in our business. Two years back on our Customers demand we have started creating capacity by installing injection moulding machine to cater the need of fittings. On Customer demand, we are providing to 1/2'' to 9'' sizes fittings. We are continuously striving for up gradation of new technology. In North India, we are the First Company to install First Extrusion line of 900 kg/hour. The Committee, inter alia, approves transfer and transmission of shares, issuance of duplicate share certificates and reviews all the matters connected with share transfers.

The Committee also looks into the redressal of shareholders/investors complaints as prescribed under Part D of Schedule II of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 relating to transfer of shares, non-receipt of Annual Report, non-receipt of declared dividends etc. received directly or through SEBI (SCORES), Stock Exchanges, Ministry of Corporate Affairs, Registrar of Companies etc.

CRITERIA OF MAKING PAYMENTS TO NON-EXECUTIVE DIRECTORS OF APOLLO PIPES LIMITED (FORMERLY “AMULYA LEASING AND FINANCE LIMITED”)

Overall remuneration should be reflective of the size of the Company, complexity of the sector/industry/company’s operations and the company’s capacity to pay the remuneration. Independent Directors ("ID") and Non- Executive Directors ("NED") may be paid sitting fees (for attending the meetings of the Board and of committees of which they may be members) and commission within regulatory limits. Quantum of sitting fees may be subject to review on a periodic basis, as required. Within the parameters prescribed by law, the payment of sitting fees and commission will be recommended by the Nomination and Remuneration Committee (“NRC”) and approved by the Board. Overall remuneration (sitting fees and commission) should be reasonable and sufficient to attract, retain and motivate Directors aligned to the requirements of the Company (taking into consideration the challenges faced by the Company and its future growth imperatives). Overall remuneration practices should be consistent with recognised best practices. The aggregate commission payable to all the NEDs and IDs will be recommended by the NRC to the Board based on Company’s performance, profits, return to investors, shareholder value creation and any other significant qualitative parameters as may be decided by the Board. The NRC will recommend to the Board, the quantum of commission for each Director based upon the outcome of the evaluation process which is driven by various factors including attendance and time spent in the Board and committee meetings, individual contributions at the meetings and contributions made by Directors other than in meetings. In addition to the sitting fees and commission, the Company may pay to any Director such fair and reasonable expenditure, as may have been incurred by the Director while performing his/her role as a Director of the Company. This could include reasonable expenditure incurred by the Director for attending Board/Board committee meetings, general meetings, court convened meetings, meetings with shareholders/creditors/ management, site visits, induction and training (organized by the Company for Directors) and in obtaining professional advice from independent advisors in the furtherance of his/her duties as a Director.

Despite difficult trading conditions, APL Apollo has strived to supersede its previous records of highest sales. We have concluded 2018 with an outstanding performance. These results are further a source of encouragement and indicative of the future growth prospects of our company. We are looking forward to achieving internal production capacity of 2 Million Metric ton per annum by the end of current fiscal year. We also foresee the continuation of a strong demand for our products, as our brands have become a household name. Our approach towards our products has come a long way through experience within the industry; our products have evolved from a mere commodity and have found myriad uses in various upcoming industries. This approach is further helping us develop into a solution based company.

Being a market trendsetter, we always strive to consistently spot the underlying potential and seize the opportunity by making better choices, with our undying efforts; we hope and expect to see India as an apex manufacturer of Steel tubes. business. The role of Steel has been significant in our country’s growth in past decade, and consumption of steel is one of the important factors linked to growth of GDP. According to the trend observed, the global consumption of steel is 1500 Million ton per annum where China being the leader is able to manufacture and consume 800 MTPA. The consumption of steel is expected to grow by 12.5%and as leaders; I see enormous potential in placing India on the global map. The scope of new possibilities and innovations is enormous. With consistent marketing efforts, we have been able to establish a notable name

As pioneers in Innovation, we firmly understand the need of the society and we are constantly thriving to achieve the same over decades. In the previous financial year, the Company made a contribution of Rs. 1.01 crore to Prime Minister’s National Relief Fund for Education of Poor Children, Rs. 0.11 crore to World Hope Foundation and Rs. 0.015 crore to U.P. Science Centre, Jhansi as a part of the CSR activity. We have also donated Rs. 1crore for Kerala Relief fund and food for people of Kerala. In FY 19-20, our major initiative will be to take care of the kids of APL Apollo’s associates ensuring better health and education to them.
