AMENDED

ARTICLES OF INCORPORATION of the ASSOCIATION OF CHRISTIAN SCHOOLS, COLLEGES AND UNIVERSITIES (ACSCU), INCORPORATED (New name adopted 11 May 1999) (Formerly: Association of Christian Schools and Colleges, Inc.)

KNOW ALL MEN BY THESE PRESENTS The undersigned incorporators, all of legal age and residents of the Philippines, for and in representation of the respective member schools, colleges and universities of the Association, have this day voluntarily agreed to form a non-stock and non-profit association under the laws of the Republic of the Philippines.

THAT WE HEREBY CERTIFY: FIRST:

That the name of the Association shall be the

ASSOCIATION OF CHRISTIAN SCHOOLS, COLLEGES, AND UNIVERSITIES (ACSCU), INCORPORATED (as amended on May 11, 1999).

SECOND:

That the purposes or objectives of the

Association of Christian Schools, Colleges and Universities (ACSCU), Incorporated shall be to serve as a center of cooperative and unified effort among the Christian school members of the Association; to elevate the standards and advance the interests of private Christian educational institutions in the Philippines; to act as the medium of expression for their common objectives, common ideals, and common desires; to promote a high sense of unity, understanding and fellowship among themselves and with the cooperating mission boards, agencies, educational institutions, and other bodies here and abroad which are interested in Christian schools and in education in general in the Philippines; to provide special services whenever such services are requested by the member schools; and to serve as liaison for member schools in their dealings with government and related agencies (as amended on May 11, 1999).

THIRD: That the principal office of the Association shall be located in Metro Manila, Philippines (AS AMENDED ON 29 MAY 2007)

FOURTH: That the term for which the association is to exist is fifty (50) years from and after the date of issuance of the certification of incorporation (as amended May 11, 1999).

SEVENTH. That Mr. Gregorio L. Federis, Jr., representing the Union Theological Seminary, has been duly elected by the members of the Association as Treasurer until such time that his successor is duly elected and qualified in accordance with the ByLaws; and that as Treasurer, he is authorized to receive for and in behalf of the Association all fees, contributions and other forms of income; to issue receipts therefore and to pay all obligations of the Association as may be authorized by the Board of Trustees.

EIGHT: That no part of the income of which the Association may obtain as an incident to its operation shall be distributed as dividends to its members, trustees or officers subject to the provision of the Corporation Code on dissolution.

Any profit

obtained by the Association as a result of its operations, whenever necessary or proper shall be used for the furtherance of the purposes enumerated in the Second Article, subject to the provision of Title XI of the Corporation Code of the Philippines (as amended on May 11, 1999).

NINTH:

That in the event of a dissolution of the

Association, all of its assets after having settled and/or paid its just

obligations and such other lawful liabilities, shall accrue in favor of the members of the Association (as amended on May 11, 1999). TENTH.

That the Association shall comply with the

requirements for non-stock corporations in the course of its operations (as amended on May 11, 1999).

In witness whereof, we have hereunto signed this Article of Incorporation, this 10th day of November, 1963 in the City of Manila, Philippines.
