The scope of this agreement is to verify __________________ (“Company”) understanding of, and agreement on, the security requirements for and upon purchase of, Atmel Smartcard Micro controllers. (the “Products”) The purpose (“Authorised Purpose”) of this agreement is to ensure that Atmel Products are used and resold under the terms and conditions of this agreement. This agreement incorporates Atmel’s Standard Terms & Conditions of Sale. General a. A valid Mutual NonDisclosure Agreement, executed on ______________, exists between Atmel and Company, reference number _______________. b. Company shall take all steps as may be reasonably required by Atmel to assist in maintaining the security of the Products and systems using them, including but not limited to, giving Atmel the right to audit Company’s ability to protect Atmel's Products. c.
Any purchase of Atmel’s Products by Company shall be governed by Atmel's Terms and Conditions of Sale, a copy of which is available on request.
d. Company shall provide Atmel with any information which is required by any applicable government, for the purpose of export law. Security a. Company agrees that all Atmel Products, shall only be used, sold and/or transferred for declared applications as previously expressed, in writing, to Atmel. b. Company agrees that it will not knowingly use, sell and/or transfer Atmel Products for illegal purposes, or for unauthorized emulation of secure systems and products belonging to others. c. Company agrees to complete and return product receipts, as soon as the Products are received. d. Company agrees that Atmel Products will not be used, sold and/or transferred with the Atmel bootloader code present, or used, sold and/or transferred with an insecure application or operating system which allows, either subsequent access to, or similar functionality to the Atmel bootloader code. e.
Company agrees that Atmel Products will not be used, sold and/or transferred to others without demonstrating its strictest due diligence and taking its best efforts to ensure compliance to the above Security Conditions at Security a, b, c and d.
Disclaimer a. Company acknowledges that the security of systems in which smartcards are used depends on the security of the system as a whole. Company also acknowledges that when a security feature is mentioned in any Atmel literature it refers to a feature which is intended to increase the security of the Atmel Product under normal use and under normal circumstances. Atmel offers no security guarantee whatsoever.

The scope of this agreement is to verify __________________ (“Company”) understanding of, and agreement on, the security requirements for and upon purchase of, Atmel Smartcard Micro controllers. (the “Products”) The purpose (“Authorised Purpose”) of this agreement is to ensure that Atmel Products are used and resold under the terms and conditions of this agreement. This agreement incorporates Atmel’s Standard Terms & Conditions of Sale. General a. Company agrees that Atmel Products will not be used, sold and/or transferred with the Atmel bootloader code present, or used, sold and/or transferred with an insecure application or operating system which allows, either subsequent access to, or similar functionality to the Atmel bootloader code. e.
Company agrees that Atmel Products will not be used, sold and/or transferred to others without demonstrating its strictest due diligence and taking its best efforts to ensure compliance to the above Security Conditions at Security a, b, c and d.
Disclaimer a. Company acknowledges that the security of systems in which smartcards are used depends on the security of the system as a whole. Company also acknowledges that when a security feature is mentioned in any Atmel literature it refers to a feature which is intended to increase the security of the Atmel Product under normal use and under normal circumstances. Atmel offers no security guarantee whatsoever.
