INTRODUCTION While Iraq was under the rule of the past regime, it had experienced several wrong policies that had isolated it away from the world economic tune, as no potential economic laws were implemented when the Iraqi economy was mainly depending on oil revenues, ignoring all the other vital sectors which could be more beneficial for the economy than the oil itself. Now, Iraq is implementing many procedures and legislating several laws that shall activate the process of facilitating the attraction of the foreign direct investment in to it, one of these laws is the Investment Law NO (13) which shall encourage investors to enter in to the Iraqi promising market.

‫المقدمة‬ ‫عندما كان العراق خاضعا“ لسياسات النظام السابق شهد تطبيق العديد‬ ‫من السياسات القتصادية الخاطئة التي عزلته عن النغمة القتصادية‬ ‫ فلم تكن هناك القوانين القتصادية‬،‫التي يسير وفقها العالم اجمع‬ ‫الصحيحة حيث اعتمد القتصاد العراق بصورة رئيسية على الموارد‬ ‫النفطية مهمل“ كافة القطاعات الحيوية الخرى التي بالمكان ان تدر‬ ‫على القتصاد منافع قد تفوق المنافع التي يدرها النفط ذاته‬. ‫يقوم العراق حاليا“ بالعديد من الجراءات وتشريع عدد من القوانين‬ ‫التي ستسهل جذب الستثمارات الخارجية المباشرة اهمها قانون‬ ‫( الذي سيشجع المستثمرين على دخول السوق‬13) ‫الستثمار رقم‬ ‫العراقي الواعد‬.

‫الموقع الجغرافي‬ The Geographical Site ‫يحتل العراق موقعا جغرافيا متميزا وله حدود مع ست دول توصله‬ Iraq has a special geographical site and 3650 ‫بإطراف العالم المختلفة برا وتبلغ حدوده معها حوالى‬ borders with 6 countries that are 1458 ‫ منها حيث تبلغ الحدود معها‬%40 ‫كيلومتر تشكل ايران‬ connecting it with the various parts of the ‫ كيلومتر‬605 ‫ كيلومتر ثم سوريا‬814 ‫كيلومتر تليها السعودية‬ world by land, these borders are of 3650 ‫ كيلومتر فالردن‬240 ‫ كيلومتر ثم الكويت‬352 ‫فتركيا حيث تبلغ‬ KM, Iran makes 40% of it as the borders ‫كما للعراق منفذ بحرى عن طريق موانئ البصرة وأم‬. ‫ كيلومتر‬181 goes 1458 KM, then followed by Saudi Arabia with 814 KM then Syria with 605KM ‫وهى محطة لنقل البضائع والسلع وتستقبل السفن‬, ‫قصر وخور الزبير‬ ‫ وهي‬.‫العملقة اضافة الى انه يتم شحن النفط منها الى الدول الخرى‬ and Turkey with 352 KM and Kuwait with .‫نقطة نموذجية توصل اطراف العالم يبعضها‬ 240 KM and finally Jordan with 181 KM. Iraq also has gateways through Basra port , Um Qaser port and Khour Al-Zubair which are points transporting goods and packages and receiving large ships in addition to transporting oil to the other countries. And it is considered as a standard point that connects the various parts of the world with each other.

‫النفط والغاز الطبيعى‬ Oil and Natural Gas - the real reserves of the Iraqi oil with ‫ يبلغ احتياطى النفط العراقى الفعلى مع توقعات الخبراء المختصين‬‫ من الحتياطى‬% 22 ‫ مليار برميل اى حوالى‬212 ‫حوالى‬ the expectations of the experts is . ‫العالمى‬ estimated about 212 Billion Barrels or about 22% of the world reserves . 1000 ‫ يبلغ عدد البار العراقية من حقول كركوك و الرملية معا‬‫بئر نفطى تكلفة النتاج فيه منخفضة بالمقارنة مع النفوط الخرى‬ - Iraq has 1000 oil fields in Rumaila . ‫وذلك لقربه من سطح الرض‬ and Kirkuk which does not need high production costs when compared to other ‫ يبلغ احتياطى العراق الفعلى من الغاز الطبيعى مع توقعات الخبراء‬‫ ويعتبر ذلك فى‬, ‫ تريليون قدم مكعب‬250 ‫المختصين حوالى‬ oil fields for being close to the earth .‫الحسابات النفطية كمية هائلة وثروة قيمة جدا‬ surface. - The real reserves of the Iraqi natural Gas with the expectations of the experts is estimated about 250 trillion cupid feet. ‫الموارد البشرية‬ Human Resources Iraq population number is 27,499,638 2,8 ‫نسمة بمعدل نمو سكانى‬27,499,638 ‫يبلغ عدد سكان العراق‬ :‫ كما ان هرم العمار التقريبى على الوجه التالى‬% with growth average of 2,8% and age pyramid as the following: ‫النسبة‬ ‫الفئة‬ age percentage % 39,4 ‫ سنة‬0-14 % 57,6 ‫ سنة‬64 -15 0-14 years 39,4% %3 ‫ فما فوق‬65 15-64 years 57,6% ‫بمعنى اخر ان العمر الذى يدخل ضمن العملية النتاجية الحالية و‬ 65 and above 3% ‫المستقبلية اى تهيئة الجيل الثانى لها للحفاظ على الستمرارية متوفر‬ In other words, the population of the age that goes with the current and future . ‫ ( وهذه ميزة مهمة فى العامل الديموغرافى‬58+39 ) % 97 ‫لحد‬ production process is available to 97% (58+39) and that is an important advantage within the demographic factor.

‫وعليه فان مقومات وعوامل ازدهار القتصاد العراقى ومحفزات‬ ‫الستثمار فيه كثيرة ولم تقتصر على ما ذكرناه فقط لن اى اقتصاد‬ ‫عندما نريد ان نضع له خطة نمو علينا ان نؤمن له ابتداء وجود كل‬ ‫من رأس المال والطاقة والنسان لذلك اثرنا الشارة الى تلك الجوانب‬ ‫الثلثة حيث وجدنا انها متوفرة فى اعلى درجاتها‪ ,‬وتعتبر من العوامل‬ ‫الجاذبة للستثمار ‪.‬‬

People can come and go feeling absolutely secured. Most of the immigrating families have got back to their original cities.

INVESTMENT LAW – PRIVILAGES Investor, whether Iraqi or foreigner, shall enjoy the following privileges : The right to repatriate in convertible foreign currency capital brought into Iraq, and any profits derived there from. The right to: - Trade in shares and bonds listed on the Iraq Stock Exchange. - Form investment portfolios of shares and bonds.

INVESTMENT LAW – PRIVILAGES (CONTINUED) Investors may rent or lease land needed for their projects for the term of the investment project, provided the term not exceed 50 years renewable.

‫)قانون الستثمار – المزايا )تابع‬ ‫استئجار الراضي اللزمة للمشروع او المساطحة للمدة التي يكون‬ (50) ‫فيها المشروع الستثماري قائمًا على ان ل تزيد المدة عن‬ .‫خمسين سنة قابلة للتجديد‬

‫للمستثمر العراقي و الأجنبي لأغراض مشاريع السكان حق‬ Iraqi and foreign investors shall have the ‫الحتفاظ بالرض بمقابل يحدد بينه وبين مالك الرض بشرط تمليك‬ . ‫الوحدات السكنية للعراقيين بعد اكمال المشروع‬ right, for the purposes of housing projects, to acquire land at a price negotiated with the land owner, and on the condition that ‫تسهل الهيئة تخصيص الراضي اللزمة وتأجيرها لأقامة المشاريع‬ the said housing units shall be offered in ‫المشمولة‬ the market to Iraqis. The Commission may facilitate the allocation of the required land for Exempt Projects.

Investors may insure Investment Projects ِ‫التأميسن علسى المشروع السستثماري لدى أي شركسة تأميسن وطنية او‬ . ‫اجنبية يعتبرها ملئمة‬ with any duly licensed foreign or national insurance company of their choice.

INVESTMENT LAW – GAURANTIES Investors shall have the right to employ and use non-Iraqi workers if qualified Iraqis are unavailable. Facilitated residency formalities for foreign investors and non-Iraqis working in Investment Projects.

‫قانون الستثمار – الضمانات‬ ‫يحق للمستثمر توظيف واستخدام عاملين من غير العراقيين في‬ . ‫حالة عدم امكانية استخدام عراقي يملك المؤهلت اللزمة‬ ‫تسهيل معاملت منح المستثمر الجنبي والعاملين في المشاريع‬ ‫الستثمارية من غير العراقيين حق الدخول والخروج و القامة في‬ . ‫العراق‬

‫عدم المصادرة او تأميم المشروع الستثماري المشمول بإحكام هذا‬ . ‫ل او جزًء باستثناء مايصدر بحقه حكم قضائي بات‬ ً ‫القانون ك‬ There shall be no seizure or nationalization of a Project covered by the provisions of the law, in whole or in part, except by order of the courts

‫للعاملين الفنيين والأداريين غير العراقيين في المشروع ان يحولوا‬ Non-Iraqi technicians, and administrators . ‫رواتبهم وتعويضاتهم الى خارج العراق بعملة قابلة للتحويل‬ working in any Project shall have the right to transfer their salaries and other ‫ بيع الموجودات المعفاة او التنازل عنها‬، ‫ بموافقة الهيئة‬، ‫للمستثمر‬ compensation abroad in convertible ‫الى مستثمر اخر مستفيد من احكام هذا القانون على ان يستعملها في‬ . ‫مشروعه‬ currency. With the approval of the Commission, ‫للمستثمر بعد اشعار الهيئة بيع الموجودات المعفاة لأي شخص او‬ ‫مشروع اخر غير مشمول بأحكام هذا القانون بعد دفع الرسوم‬ Exempt Investors may sell exempted fixed . ‫والضرائب المستحقة عنها‬ assets or relinquish them to other investors benefiting from the provisions of this law, for use in another Exempt Project. Exempt Investors may sell exempted fixed assets to any person or other project not subject to the provisions of this law after paying the outstanding fees and taxes.

‫يتمتع المشروع الحاصل على اجازة الستثمار من الهيئة بالأعفاء من‬ An Exempt Project is exempt from taxes and fees for period of ten (10) years from ‫( سنوات من تاريخ بدء التشغيل التجاري‬10) ‫الضرائب والرسوم لمدة‬ ‫حسب درجة التطور القتصادي للمنطقة وطبيعة المشروع‬ the date it commences commercial . ‫الستثماري‬ operations in accordance with the degree of economic development of that area and the nature of the investment project. ‫للهيئة زيادة عدد سني العفاء من الضرائب والرسوم يتناسب بشكل‬ ‫طردي مع زيادة نسبة مشاركة المستثمر العراقي في المشروع لتصل‬ The Commission has the right to extend ‫( سنة اذا كانت نسبة شراكة المستثمر العراقي في المشروع‬15) ‫الى‬ the period of the exemption from taxes . % 50 ‫اكثر من‬ and fees up (15) years proportionally with the increase of Iraqi Investment in a project if the original Iraqi investment was more than 50% of the total initial investment.
