[Include date] Dear [Name of Employee]: This correspondence verifies that OHJ has appointed you as its data encoder. In consideration thereto, you agree to be employed under the following terms and conditions: 1. You agree to work at the schedule assigned to you and use your best efforts while rendering services for OHJ. As our coder, you will be in charge for: inputting data into a database, software, computer application or web based form always considering speed and accuracy. 2. You will make no representations, warranties, or commitments binding OHJ without our prior permission nor do you have any authority to sign any documents or incur any indebtedness on OHJ's behalf. 3. You shall assume responsibility for all programs and other materials delivered to you and you shall return same immediately upon the request of OHJ. 4. OHJ EMPLOYS YOU AT WILL AND MAY TERMINATE YOUR SERVICE AT ANY TIME SHOULD OHJ FINDS YOU GUILTY OF VIOLATING ANY OF ITS POLICIES OR SHOULD OHJ DEEM YOUR CHARACTER NOT FITTING ITS IDEALS. LIKEWISE, YOU ARE FREE TO RESIGN AT ANY TIME IF YOU FIND ANY OF OHJ’S POLICIES DISAGREEABLE. SHOULD THIS BE THE CASE, YOU ARE TO TENDER A NOTICE OF RESIGNATION CLEARLY STATING YOUR REASONS. YOU WILL NOT HOLD ANYTHING AGAINST OHJ OR DAMAGE OHJ’S REPUTATION BY SPREADING MALIGNANT ACCUSATIONS. 5. OHJ shall compensate you a starting wage of $8 per 8 hours (minimum for shift duties) (OR $10 per 8 hours depends on which account you are assigned to) as consideration for all services to be rendered pursuant to this Agreement. This will increase eventually based on your performance and OHJ clients’ budget. In addition, since OHJ is only an online outsource group it shall not provide you any health insurance. There will also be no paid vacation. However, OHJ reserves the right to schedule your vacation(s) so as not to conflict with its regular business operations. 6. Your performance will be closely monitored. Depends on the project available, you may be assigned to work on projects that do not pay per hour. For this kind of projects you may be paid per set, per number of entry per minute, or per piece. 7. For the same reason stated in clause 5, you shall receive no paid sick leave, but you have the responsibility to inform OHJ ahead of time if you should be unable to report for work due to sickness. 8. You will be required to work during holidays without additional compensation. Bonuses will be given from time to time based on performance.

9. You agree and represent that you owe OHJ the highest duty of loyalty. This means that you will never engage in other online jobs offered by rival groups or detractors, will not divulge OHJ and its partners’ confidential information or share to non-members materials provided by OHJ, and will protect OHJ property. You will not act as spy for another group or company to steal ideas or partners from OHJ. You will not recruit OHJ members for another group or for your own expediency. You will not make use of OHJ facilities for your ambitious plans. Should you plan to form your own group, it is your responsibility to express this desire to OHJ officials and get their consent regarding the matter to be deliberated. You will communicate all discontentments, complaints and resentments directly to OHJ officials to resolve any disputes or misunderstanding and will not speak spitefully of OHJ and/or twist facts to damage OHJ’s name as OHJ will not do the same to its members. You will inform OHJ of your previous and/or on-going online or offline commitments. 10. While acting as an employee for OHJ, you will not directly or indirectly, own an interest in, operate, control, or be connected as an employee, agent, independent contractor, partner, shareholder or principal in any company or group which directly or indirectly compete with the business of OHJ without consent from us. 11. All lists and other records relating to the Clients of OHJ, whether prepared by you or given to you by OHJ during the term of this Agreement, are the property of OHJ and shall be returned immediately upon termination or resignation of your employment. 12. You further agree that if you do not notify OHJ of your plans of applying to another group rendering the same services as OHJs before you forward your resignation, you shall not work for, own an interest in, or be connected with as an employee, stockholder or partner in any company or group which directly or indirectly competes with the business of OHJ for a period of One (1) month following the termination or resignation of your employment. 13. There shall be no change, amendment or modification of this Agreement unless it is reduced to writing and signed by both parties. This Agreement cancels and supersedes all prior agreements and understandings. Your signature in the lower left corner of this Agreement will indicate the acceptance of the terms and conditions herein stated.
