1. The Global ERP market Globalization, centralization, and regulatory compliance are the key drivers for continued ERP investment among large corporations. In the small and midsize business (SMB)
segment, which continues to outgrow the overall market, companies are buying new ERP
systems in response to new customer requirements and the desire to participate in the global market.
Shown below are the revenues and estimates from ERP Applications from 2006 to 2011. The graph shows an ever increasing trend which means that the ERP Applications market is continuously growing at a fast rate and is also expected to grow further by a great extent.

Traditionally, the ERP market has been segmented by the size of customers the vendors
targeted: large enterprise vendors, midmarket vendors, and small business vendors. It was thought that the same vendors and products couldn’t serve multiple segments, but that
notion has been disproved recently. We are now seeing many ERP vendors competing effectively in all segments Page | 3

1.1 Market Shares According to a survey conducted by Gartner in 2008, the leading ERP brand in terms of market share is SAP, followed by Oracle and Microsoft. The other players are all smaller players having very less market shares. Infor has a market share of 2.9% of the total ERP
market. If we add up Baan, which was acquired by Infor, the total of Infor + Baan comes out to be 5.2% of the total market.

1.2 The Indian Scenario Looking at the Indian scenario, the situation is still the same as far as the market leader and
the challenger are concerned. I.e. SAP and Oracle are leading the markets in India too. But the point to be noted here is that Tally which is a product developed in India and mainly
used for accounting is holding quite a significant share in the Indian ERP market. And another Indian ERP vendor Ramco is also in the list with a significant market share.
Infor only has a meager 2.75% market share in the Indian ERP market which is not a very good sign.

2. Company Profiles 2.1 Baan Baan offered a comprehensive portfolio of best-in-class, component-based applications for
front office, corporate office and back office automation. These applications were used at
over 7,000 customer sites worldwide at some point of time. Baan Company products reduced complexity and cost, improved core business processes, faster to implement and use, more flexible in adapting to business changes and optimize the management of information throughout the entire value chain History
Founded in the Netherlands in 1978 by brothers, Jan and Paul Baan, Baan has dual headquarters in Barneveld, The Netherlands and Reston, Virginia, United States of America.
Since 1995, the Company had significantly expanded its sales and service presence in North America, Latin America, Europe and Asia.
In June 2000, facing worsening financial difficulties, law suits and reporting seven
consecutive quarterly losses and bleak prospects, Baan was sold at a price of US$700 million to Invensys, a UK automation, controls, and process solutions group to become a
unit of its Software and Services Division. Laurens van der Tang was the president of this
unit. With the acquisition of Baan, Invensys's CEO Allen Yurko began to offer "Sensor to Boardroom" solutions to customers.
In June 2003, after Allen Yurko stepped down, Invensys sold its Baan unit to SSA Global Technologies for US$ 135 million.
Upon acquiring the Baan software, SSA renamed Baan as SSA ERP LN. In August 2005, SSA
Global released a new version of Baan, named SSA ERP LN 6.1. In May 2006, SSA was acquired by Infor Global Solutions of Atlanta, which was a major ERP consolidator in the market. Page | 6

Baan offered specific vertical industry solutions for aerospace and defense companies engaging in multi-level projects and contracts. Baan's A&D offering included Baan Project to enable the effective management of key functional business process areas. This unique,

2.2 SSA Global PROFILE SSA Global is a provider of ERP solutions for manufacturing, services, and public organizations worldwide. The company’s headquarters are in Chicago, Illinois, and it has 121 offices worldwide.
Founded in 1981 as System Software Associates, SSA Global has gone through several distinctive stages of development. Along the way the company has made a number of acquisitions.
2005 saw SSA Global become a public company (it is quoted on NASDAQ under the symbol SSAG) along with Epiphany’s suite of products becoming an integrated part of the SSA CRM solution and the addition of Boniva’s talent management suite strengthening SSA Human Capital Management.
SSA Global now has some 3,500 employees, with around 1,200 in development. The
company spends on average 15% of its annual revenues on the development of new solutions and enhancements.
It has around 13,400 active customers in total, and there are over 250 projects under way
for the latest release of SSA ERPLN. Key customers using this product include Boeing,
Barco, BAE Systems, Komatsu, and TelAir International. In general, SSA ERPLN (and its
predecessors) is used across several departments within the business, such as for finance, sales, purchasing, service, and manufacturing operations.
On May 15, 2006, SSA Global announced that it would be acquired by Infor Global Solutions. The acquisition was completed on July 28, 2006.

Acquisitions Along the way the company has made a number of acquisitions, which started in 2001 with the purchase of Max International, a UK-based company focusing on European manufacturing and SMEs.
Also, in 2002 SSA Global acquired InterBiz Product Group from Computer Associates, as well as Infinium Software, a company focused on North American process manufacturing and healthcare organizations.
The acquisitions continued in 2003, with SSA Global acquiring Ironside – a buy-side e-
commerce company, Baan (an underperforming Dutch ERP provider purchased from
Invensys), Elevon – a knowledge management and collaborative commerce company, and finally EXE Technologies – a SCM business.
More acquisitions were made in June and July of 2004 with the company acquiring substantially all of the assets of Arzoon, a provider of integrated logistics and global trade
management technology, as well as purchasing Marcam, a provider of specialized, operational-level ERP solutions for process manufacturers from Invensys. if they are implemented in the same enterprise so there should be some arrangement by which these different packages can communicate, which is in the form of Infor Open SOA.
3.11 Infor Open SOA With a huge Portfolio of solutions, there is a requirement to enable all these solutions to “talk” with each other and with other third party software installed by the client. To enable this, Infor has come out in 2007 with Infor Open SOA which helps the enterprise software vendor integrate its many acquired product lines.
Infor Open SOA is based on an "event-driven" architecture, whereby end customers can deploy and
upgrade interoperable applications and software components with little or no disruption to other enterprise systems. Infor's middleware is platform-independent by adhering to industry standards
